Margaret J. Weil has experience in tax planning and other tax aspects of private equity transactions, mergers and acquisitions, financings, and other commercial transactions. She advises domestic and international corporations, partnerships, and high-net-worth individuals on a broad range of tax matters, including domestic and cross-border M&A, securities offerings, restructurings, tax compliance, and the federal, state, and international tax developments that affect their transactions and ongoing business operations.

In particular, she focuses her practice on representing tax equity investors, lenders, sponsors and developers in the renewable and alternative energy space, and advises these clients on the tax aspects of their transaction structures, federal income tax credits and other tax incentives—particularly those relating to wind and solar.

  • Represented an electric power company in tax aspects of a US$18.4 billion transaction to acquire a Texas utility in connection with a reorganization of an electric utility company out of Chapter 11 bankruptcy.°
  • Represented a solar energy company in tax aspects of several securitizations of cash flows from distributed solar generation systems.°
  • Represented a South American electric utility company in tax aspects of a corporate reorganization transaction of US$22 billion of assets.°
  • Represented lenders in tax aspects of in a US$216 million construction loan and letter of credit facility for a 151MW wind project.°
  • Represented a non-U.S. pension fund manager in tax aspects of financing an investment in portfolio of several cash equity funds comprised of 38,000 solar systems in the United States.°
  • Represented an international infrastructure firm in tax aspects of financing of a U.S. toll road in deal valued at $600 million.°
