Ana has represented a variety of clients, including Mexican and international clients, with operations in several jurisdictions, in structed financing, assets and stock acquisitions, as well as bond offerings and private placements and other complex corporate matters.

  • Advised a holder of a toll road concession in the negotiation and implementation of a MXN$2,400 million mezzanine loan and a MXN$1,000 million convertible loan to finalize the construction works of such toll road.
  • Advised HSBC México, S.A., Institución de Banca Múltiple, Grupo Financiero HSBC, as lender, in a MXN$880 million loan facility secured with a pledge over the capital stock of two Mexican public companies.
  • Advised a group of Mexican banks, as lenders, in a MXN$4,500 million syndicated loan facility granted to Grupo Traxión, S.A.B. de C.V.
  • Advised Merrill Lynch Pierce Fenner & Smith Inc. in a USD$125 million bridge loan facility to Aeroinvest, S.A. de C.V.
  • Participated as counsel to a foreign private equity fund listed in Nasdaq in the acquisition of a leading Mexican household and personal products company.
  • Participated as counsel to COVIMSA, S.A. de C.V., a subsidiary of Empresas ICA, S.AB. de C.V. (BMV: ICA) (NYSE:ICA) in the negotiation and documentation of a MXN$750 million convertible loan, where the parties have previously agreed to the equity stake to be acquired, with CKD Fomento a la Energía e Infraestructura de México (EXI), through the EXICK Trust, to provide the resources required for the completion of the Palmillas-Apaseo El Grande toll road in the states of Queretaro and Guanajuato. Autovía Queretaro, S.A. de C.V., a subsidiary of COVIMSA, holds the 30-year concession to build, operate, exploit, preserve, and maintain the highway. The conversion into equity is subject to regulatory approval from the Mexican Antitrust commission and the Ministry of Transportation and Communications.
  • Participated as counsel to Empresas ICA, S.A.B. de C.V. (BMV and NYSE: ICA), the largest infrastructure and construction company in Mexico in the creation of a joint venture company with CDPQ (Caisse de dépôt et placement du Québec), one of Canada's leading institutional fund managers, to create an operational platform that owns the concessions for four of ICA's operational toll roads and highways (Mayab tollroad, Rioverde – Ciudad Valles highway, La Piedad Bypass and the Acapulco Tunnel) worth a combined value of approximately MXN$6 billion.
  • Participated as counsel to EMX Capital, a Mexican private equity fund, in the acquisition of a Mexican company engaged in the road freight business, through its publicly listed fund (CKD) and other foreign and local vehicles.
  • Advised Morgan Stanley México, Casa de Bolsa, S.A. de C.V., Deutsche Securities, S.A. de C.V. Casa de Bolsa, J.P. Morgan Casa de Bolsa, S.A. de C.V., J.P. Morgan Grupo Financiero, Casa de Bolsa, and BBVA Bancomer, S.A. de C.V. Grupo Financiero BBVA Bancomer, as underwriters in connection with the tender offer launched by Soriana to purchase all the Comercial Mexicana shares listed in the Mexican Stock Exchange.
  • Advised Banamex in the first sale of a mezzanine certificate from a mortgage loan securitization through the Mexican Stock Exchange.
  • Advised Fondo Especial para Financiamientos Agropecuarios (FEFA) in several public and private bond offerings.
  • Participated as counsel to Goldman Sachs & Co. in connection with the issuance by Grupo Atento of USD$300 million.
  • Participated as counsel to the State of Michoacán in the implementation of a guaranty granted by Banobras in connection with a securitization of a local tax.
