Nathaniel (Nate) Minott advises financial institutions, private equity sponsors and corporate borrowers on a broad range of bank financing matters and commercial transactions, including public and private sales of secured and unsecured debt securities, syndicated, leveraged and mezzanine loan transactions and debt and equity offerings. Nate also advises on domestic and cross-border leveraged acquisition financings, asset-based financings and investment grade lending transactions. Nate has experience in a variety of industries including the financial services, technology, energy, retail and manufacturing sectors.

  • Advised a syndicate of banks led by Bank of America in arranging debt financing related to the $1.1 billion acquisition of AssuredPartners Inc. by Apax Partners.°
  • Advised Wells Fargo Securities and other Initial Purchasers on banking and securities law issues related to Orbital ATK Inc.’s $400 million offering of Senior Notes in a Rule 144A/Regulation S.°
  • Advised RBC and Deutsche Bank in connection with the financing of Apax Partners’ €730 million acquisition of Exact Holding NV, a Dutch software and cloud computing business.°
  • Represented J.P. Morgan Chase and other financing sources in connection with Vista Equity’s $4.3 billion acquisition of TIBCO Software Inc.°
  • Represented J.P. Morgan Chase in connection with its amended and up-sized $925 million credit facilities for BATS Global Markets, Inc.’s $365 million acquisition of Hotspot FX.°
  • Represented a private equity client in connection with its $325 million mezzanine investment in Senior Notes and preferred equity interests in a leading independent film production and distribution company.°
