Ana has represented a variety of Mexican and international clients, with operations in several jurisdictions, in structed financing, assets and stock acquisitions, as well as bond offerings and private placements and other complex corporate matters.

  • Advised Grupo Financiero Santander México, as agent, lead arranger and lender, Grupo Financiero HSBC, as lead arranger and lender, in connection with a MXN$2,000,000,000.00 secured credit facility to Grupo Gigante Inmobiliario, and other subsidiaries acting as joint obligors. This facility is secured by 2 security trusts which together have 20 shopping centers in 10 different states in Mexico.
  • Representation of a Mexican real estate developer and property manager, in 2 secured facilities for a total amount of up to USD$38,900,000.00 granted to 2 different Mexican investment for a construction and development of 2 industrial plants.
  • Advised Grupo Financiero Santander, Banregio Grupo Financiero, Grupo Financiero BBVA Bancomer, Grupo Financiero HSBC, Intercam Grupo Financiero and Sabcapital, in three syndicated loan facilities for a total value of MXN$9 billion for the financing of a real estate project in Mexico City.
  • Advised a holder of a toll road concession in the negotiation and implementation of a MXN$2,400 million mezzanine loan and a MXN$1,000 million convertible loan to finalize the construction works of the toll road.
  • Representation of Black Diamond Capital Management, LLC in the purchase of its storage tanks business to Arcosa, Inc. for $275 million in cash.
  • Four Greenberg Traurig offices have helped household appliance retailer Betterware acquire Mexican cosmetics company JAFRA, including its U.S. and local operations, for USD $255 million.
  • Representation of Madison Industries, one of the world’s largest privately held companies, in the potential acquisition of Melrose Industries PLC’s interest in Nortek Air Management business, including Nortek Global HVAC and Air Quality & Home Solutions segments, for approximately USD$3.625 billion. Our engagement consisted of assisting Madison in the due diligence process in Mexico, including corporate, real estate, regulatory, and labour diligence.
  • Representation in connection with the possible acquisition of 100% of the equity of several Mexican drug pharmaceutical companies. Based upon the transaction value this would likely be among the biggest deals in 2021.
  • Representation of DD3 Acquisition Corp., a publicly-traded special purpose acquisition company (SPAC), in its business combination with Betterware.
  • Advised Morgan Stanley México, Casa de Bolsa, Deutsche Securities, J.P. Morgan Grupo Financiero, Grupo Financiero BBVA Bancomer, as underwriters in connection with the tender offer launched by Soriana to purchase all the Comercial Mexicana shares listed in the Mexican Stock Exchange.
  • Advised Banamex in the first sale of a mezzanine certificate from a mortgage loan securitization through the Mexican Stock Exchange.
  • Advised Fondo Especial para Financiamientos Agropecuarios (FEFA) in several public and private bond offerings.
  • Participated as counsel to Goldman Sachs & Co. in connection with the issuance by Grupo Atento of USD$300 million.
  • Participated as counsel to the State of Michoacán in the implementation of a guaranty granted by Banobras in connection with a securitization of a local tax.
