Seth Brown is a member of the Corporate Practice in Greenberg Traurig’s Houston office. Seth has in-house experience at Goldman Sachs & Co. LLC where he led negotiation and execution of deal documentation, including credit agreements and other related agreements in support of transactions. He also reviewed and conducted due diligence related to initial diligence files, term sheets, credit agreements, security agreements, and related materials in connection with prospective financing opportunities. His legal experience includes drafting and negotiating complex contracts related to investment banking, merchant banking, and securities on matters including sponsor-backed financings, leveraged buyouts, and private equity-related transactions. Seth’s private practice experience includes the review, analysis, and drafting of documents related to commercial real estate and oil, gas, and energy transactions.

Experience

  • Restructuring of existing $925mm credit facility (partial recourse) for $69bn AUM asset manager secured by direct investments in middle-market companies, broadly syndicated loans and corporate bonds. Reviewed and negotiated amended and restated credit agreement, amendment and restated margining agreement and updates to the guaranty agreement.°
  • Entering into $700mm back leverage facility for $20bn AUM asset manager fully guaranteed on a several basis by three funds and secured by primary fund’s equity investment in single asset. Financing included cash sweeps and LTV-based margining to the extent the value of the asset declined. Reviewed and negotiated credit agreement, margining agreement and the guaranty agreement.   • Entering into $150mm 4.50% debt financing facility (partial-recourse and off-balance sheet transaction) for $4.5bn AUM asset manager secured by private equity investments in five companies valued at $600mm.   • Entering into $250mm 9.0% debt financing facility (non-recourse) for $12.5bn AUM asset manager secured by private equity investments in 14 companies valued at $2.6bn. Collateral and investing strategy focused on the buyout of Hospitality, Travel, & Leisure companies. Reviewed and negotiated credit agreement, margining agreement and the guaranty agreement.
