Seth Brown is a member of the Corporate Practice in Greenberg Traurig’s Houston office. Seth has in-house experience at Goldman Sachs & Co. LLC where he led negotiation and execution of deal documentation, including credit agreements and other related agreements in support of transactions. He also reviewed and conducted due diligence related to initial diligence files, term sheets, credit agreements, security agreements, and related materials in connection with prospective financing opportunities. His legal experience includes drafting and negotiating complex contracts related to investment banking, merchant banking, and securities on matters including sponsor-backed financings, leveraged buyouts, and private equity-related transactions. Seth’s private practice experience includes the review, analysis, and drafting of documents related to commercial real estate and oil, gas, and energy transactions.



  • Restructuring of existing credit facility for asset manager secured by direct investments in middle-market companies, broadly syndicated loans and corporate bonds.
  • Structured a back leverage facility for asset manager fully guaranteed on a several basis by multiple funds and secured by primary fund’s equity investment in single asset.
  • Structured debt facility (partial-recourse and off-balance sheet transaction) for asset manager secured by private equity investments in multiple companies
  • Structured credit facility (non-recourse) for asset manager secured by private equity investments in the Hospitality, Travel, & Leisure industries. 
  • Entered in credit facility to fund a single asset acquisition for asset manager with a full recourse guarantee from two guarantors.
