Carlos M. Escandón focuses his practice on banking and financing transactions, mergers and acquisitions, and general corporate and securities matters. He advises and represents lenders, investors, issuers, borrowers and other stakeholders in the structuring and negotiation of secured and unsecured debt transactions, public and private debt and equity offerings, private equity and venture capital investments, joint ventures, asset sales, and real estate projects.

Experience

  • Representation of the banks in a MXN$3,100 million secured syndicated loan, granted in favor of a Mexican ground transportation company.
  • Representation of a Canadian mining company in the restructuring of bank debt and replacement of security interests created by its Mexican subsidiaries.
  • Representation of a Mexican technology company in an unsecured syndicated loan, guaranteed by the borrower's subsidiaries in Mexico, Spain, Colombia and Chile.
  • Representation of an institutional investor in the negotiation of a secured loan used to finance the construction of two industrial properties in Ciudad Acuña, Coahuila.
  • Representation of the administrative agent and the lender banks in a MXN$1,094 million syndicated secured term loan in favor of a Mexican pharmaceutical company.
  • Advising institutional investors in various public offerings of certificados de capital de desarrollo (CKDs).
  • Participated in a US$115 million cross-border private placement of notes issued by a Mexican operator of dolphin parks.
  • Participated in advising and representing the underwriters in the initial and follow-on public offering of shares by Hoteles City Express, S.A.B. de C.V.°
  • Member of the team that represented the operations division of a Japanese consumer electronics products company in the divestiture of its production base in Mexico.
  • Participated in advising the investment by Advent International in a Mexican financial group holding company.
  • Participated in advising an institutional investor in the structuring and financing of the first production plant in Latin America to be operated by Audi, the German automobile company.
  • Representation of a Latin American alternative asset management firm in the structuring of a joint venture for the development of a mid-level residential real estate project in Mexico City. The investment was allocated through a Mexican trust (fideicomiso).
