Rebecca D. Rosenthal Kristall focuses her practice on the representation of institutional investors, insurance companies and pension funds in U.S. and cross-border private placements of debt securities and credit tenant loan real estate transactions.  Rebecca focuses on secured and unsecured transactions, project finance, domestic real estate and construction financings. She also has experience with national insurance regulatory matters and has represented clients in the formation, licensure and capitalization of insurers and business expansion activities.

Rebecca also has significant experience in business reorganization and financial restructuring matters, representing both creditors and debtors in and out of court.  She has experience advising corporations in financial distress regarding Chapter 11 reorganizations, liquidations, assignments for the benefit of creditors, and work-outs.

Prior to law school, Rebecca worked as an auditor for Arthur Andersen and as a financial analyst for General Electric Capital Corporation’s Global Sponsored Finance division lending to private equity firms for leveraged buy-outs.

Experience

  • Represented institutional investors in connection with $750MM debt financing with respect to the acquisition of a portfolio of 13 hydroelectric projects totaling approximately 400 MW located in the Northeast, including one of the largest conventional hydroelectric stations in the Northeast.
  • Acted as Underwriter’s and Investors’ counsel in connection with US $232 million tax-exempt bond and US $58 million taxable private placement bond of the Kentucky Economic Development Finance Authority to finance a Public-Private Partnership (P3) to bring high-speed Internet to all 120 of Kentucky’s counties. The bond offering was selected as The Bond Buyer's 2015 "Deal of the Year."
