Monica Lopez-Rodriguez is a corporate attorney with a deep background in banking, business, finance, corporate governance and information technology. Having served at in-house roles with private and wholesale banks as well as the world’s second-largest cruise line operator, Monica represents general domestic, international, and non-profit clients on matters concerning general corporate law, corporate governance, mergers and acquisitions, tender offers, exchange offers, and venture capital. She advises clients on the negotiation, execution, and management of bilateral and syndicated loans, including revolving and export credit facilities, as well as intercompany and affiliate loans. She also advises on other special financing projects, including leases, sale-leasebacks, and joint ventures. Additionally, Monica prepares debt-related financial statement disclosures and capital market transaction summaries for SEC filings.

  • Financing for cruise ships built in Finland, France, Germany, and Italy (including export-credit backed by Finnvera, Bpi France and Euler Hermes, syndicated and sale-leaseback arrangements).°
  • Governance and compliance for capital market and other financing transactions, including Sarbanes-Oxley and other reporting controls and related disclosures for SEC filings.°
  • Advised on business, governance, and legal matters for federally regulated Edge Act and Agreement Corporations and entities organized in the US, LATAM, the Caribbean, Canada and Europe.°
  • Developed and implemented governance remediation plan for a financial institution to liquidate redundant entities, dormant banks, and passive investments with contingent legal obligations in LATAM, Europe, and Asia.°
  • Managed, and provided counseling on, all private banking legal matters and its associated, SEC-registered and FINRA-regulated broker dealer, including labor issues and internal investigations.°
  • Developed and implemented compliance guidelines for private banking business activities in LATAM.°
  • Planned and executed liquidation of entities in LATAM and managed related governance matters.°
  • Advised financial institution clients on legal and regulatory/compliance matters.°
  • $6 million IPO of common stock – Biotech Company.°
