Dominik Rafałko

Dominik Rafalko focuses his practice on real estate, corporate and civil law matters. He has advised and represented Polish and international clients in transactions related to sales and acquisitions of warehouse, office, retail and other commercial real estate, as well as their financing. Dominik is involved in construction and development projects and his experience also includes providing comprehensive advice on a variety of environmental legal matters. He has co-authored a number of articles on environmental issues and implementation of PPP instruments for energy efficiency in Poland.

  • Represented Metropol Group in the acquisition of a shopping centre portfolio, consisting of five regional convenience stores in located in Gdynia, Olkusz, Radom, Świętochłowice and Siemianowice from the subsidiaries of Atrium group.
  • Advised Global Logistic Properties (GLP), a leading global investment manager and business builder in logistics, real estate, insurance and related technologies, on the Polish aspects related to the acquisition of Goodman Group’s Central and Eastern Europe logistics real estate portfolio.
  • Represented The Blackstone Group in the sale of the Galeria Leszno shopping center.
  • Represented White Stone in the acquisition of the Helion and Luminar office buildings in Warsaw from Deka Immobilien Investment.
  • Represented Logicor – a European warehouse and logistics company founded in 2012 by The Blackstone Group, and one of the largest players in the industrial real estate sector in Poland – in development projects, negotiation of construction contracts, lease agreements and other legal aspects relating to the management of logistics properties totaling over 1 million sqm in Poland.
  • Provided legal advice and coordinated legal assistance for Logicor in relation to the management of logistics properties of 1.5 million sqm in the CEE region (Poland, Czech Republic, Slovakia, Hungary, Romania).
  • Participated in the work for Akron Investment Central Eastern Europe II and Heitman, acting as the asset manager, in the sale of the Warsaw Trade Tower office building to Globalworth Poland Real Estate.
  • Participated in the work for The Blackstone Group in the EUR 12.25 billion sale of Logicor to China Investment Corporation (CIC); provided legal advice and coordinated the transaction with respect to Logicor’s properties in Poland.
  • Represented Kravco and a group of Polish investors in the EUR 100 million sale of Galeria Młociny in Warsaw to EPP / Echo Investment.
  • Represented Kravco and a group of Polish investors in the acquisition of land in Warsaw for the construction of Galeria Młociny; also represented the investors in the development process, including advising on administrative matters and the negotiation of contracts with architects and the general contractor.
  • Participated in the work for TFI PZU – the largest investment fund in Poland – in connection with the acquisition of a logistics center from Panattoni.
  • Participated in the work for Griffin Group in connection with the acquisition of the Lubicz Business Centre in Kraków.
  • Participated in the work for Marguerite Fund in the largest public-private partnership in Poland with the City of Poznan for the installation of a waste incineration plant.
  • Participated in the work for The Blackstone Group in the purchase of Galeria Leszno and the extension of Twierdza Kłodzko.
  • Participated in the work for The Blackstone Group in the purchase of a portfolio of 14 logistics properties from Panattoni/Standard Life and Panattoni /Pramerica, with the total area of 500,000 sqm.
  • Participated in the work for ZE PAK in the acquisition of the KWB Adamów and KWB Konin coal mines from the Polish State Treasury.
  • Participated in the work for Enterprise Investors in connection with the proposed acquisition of Allenort Cardiological Clinic.
  • Participated in the work for The Blackstone Group in connection with the EUR 222.5 million acquisition of Legnicka Development (the owner of Magnolia Park Shopping Center in Wrocław) from NFI Octava and Manchester Securities Corporation investment funds (named Investment Deal of the Year, CEE 2011 by Eurobuild).°
  • Participated in the work for The Blackstone Group in connection with the EUR 130 million acquisition and financing of 3 shopping centers from Rank Progress SA: Galeria Twierdza in Zamość, Galeria Twierdza in Kłodzko and Galeria Tęcza in Kalisz.°
  • Participated in the work for The Blackstone Group in connection with the EUR 74 million acquisition of Wzorcownia Shopping Mall in Włocławek from Budizol sp. z o.o. Property SKA.
  • Represented a Polish investor in the acquisition of land in Legionowo for the construction of a shopping gallery; also provided legal advice and coordinated the development process.
  • Represented Natrolite in connection with the sale of the commercial part of Nowe Powiśle – a luxury residential complex in Warsaw.
  • Assisted in the EUR 50 million sale by M3 Capital Partners of Atrium Tower – an office building in Warsaw – to Rockspring.°
  • Represented Marcol Group in the acquisition and property restructuring of Holland Park (a luxury residential project in Poland).°
  • Assisted with court and administrative proceedings in real estate cases, including proceedings concerning real estate development and the construction process.°
  • Advised on leasing arrangements and various aspects of asset management involving office buildings, shopping centers, and industrial properties in Poland.°
  • Assisted in a project concerning the implementation of a PPP structure by a municipality in Poland.°
  • Advised on legal procedures for and restrictions on business activity relating to environmental protection regulations.°
