Hector D. Sanchez Fernandez represents domestic and international clients on global energy matters with emphasis in energy and natural resources, oil and gas, mining and electricity; including corporate aspects, administrative procedures, government procurement, public policy, dispute resolution and agricultural law matters.

Hector also advises Mexican and foreign clients on regulatory and compliance matters related to Mexican laws in different regulated activities such as energy, consumer protection, gaming and advertising matters among other.

Hector regularly assists clients with issues arising under the Foreign Corrupt Practices Act (FCPA) and has experience in local anti-corruption legislation, including the National Anti-Corruption System. In addition to analyzing corruption risks in corporate transactions, he assists clients in designing and building anti-corruption programs, assesses existing anti-corruption programs and advises on post-acquisition integration of anti-corruption programs. His experience also includes assisting with internal investigations as well as designing and performing compliance audits and risk assessments and program compliance implementation efforts.

  • Represented, as a member of a team, several foreign subsidiaries of U.S. companies from different sectors in the structuring, implementation and roll-out of anticorruption FCPA policies and procedures as well as conducting anti-corruption due diligences in a number of countries, including Argentina, Chile, Costa Rica, Spain and Mexico.
  • Conducted anti-corruption due diligences to proposed target companies to be acquired in Mexico.
  • Conducted risk assessment and compliance program assessment of companies from different sectors.
  • Represented, as a member of a team, a Fortune 500 company in order to enhance its global anticorruption FCPA compliance program, including drafting policies, procedures and guidance documents, and conducting trainings.
  • Advised companies from different sectors regarding revisions to anti-corruption related financial controls.
  • Enhanced compliance programs of several Mexican companies from different sectors to comply with the National Anticorruption System.
  • Trained clients’ employees from new hires to senior management executives on corruption risks and anti-corruption compliance programs, policies and procedures in a number of countries, including Argentina, Chile, Costa Rica, Spain and Mexico.
  • Conducted internal corporate fraud investigations and fraud assessments in various jurisdictions and countries including Mexico and Guatemala.
  • Assisted various clients in the medical device, pharmaceutical and health care industries in internal investigations involving potential violations of the anticorruption compliance programs.
  • Assisted in opening BP’s first retail fuels site in Mexico as part of its plan to invest in the growing Mexican retail fuel; continuing assistance on regulatory and compliance matters for its retail sites related to energy, consumer protection and advertising matters.
  • Represented the National Hydrocarbons Commission in the drafting of regulations for oil and gas wells to be drilled in Mexico as part of the implementation of the 2013 – 2014 Energy Reform.
  • Represented a Spanish company in corporate, mergers and acquisitions, and agrarian matters for the development of a wind power project with the Federal Electricity Commission in the state of Oaxaca.°
  • Represented an U.S. joint venture company in the first electric long term auction.
  • Represented Mexican companies for its participation in the Wholesale Electric Market and performing various transactions within the market.
  • Represented a Canadian company in mini-hydraulic projects in certain rivers in Mexico.
  • Represented a joint venture company in commercial litigation and ICC international arbitration related to a natural gas self-consumption partnership.°
  • Represented, as a member of a team, U.S. sellers in the sale of a wind project in the State of Tamaulipas.
  • Represented U.S. sellers in the sale of a natural gas distribution company.°
  • Represented buyers in the purchase of a company to develop a wind power project in Oaxaca.°
  • Represented an oil field Services Company in several joint ventures in connection with the negotiation and execution of contracts.
  • Represented a Canadian company in the financing of new EOR technology for pilot programs in Mexico.
  • Represented bidders in the first three rounds of mature fields of Pemex Exploration and Production under their new model contract.
  • Represented an European client in connection with flagging and registration of vessels.
  • Represented a Norwegian client in connection with charter agreements and the attachment of a vessel.
