Michael George Taylor

Michael G. Taylor focuses his practice on corporate and securities transactions. He counsels clients on securities matters and corporate finance, including venture capital transactions.

Michael counsels buyers and sellers of businesses, in both the public and private markets, on mergers, acquisitions, and dispositions. Michael’s experience also includes counseling boards of directors with respect to their fiduciary duties and corporate governance obligations.

Michael has deep experience representing emerging growth companies. He provides counsel on financing transactions, technology acquisitions, and corporate matters. He also represents venture capital funds and “angel” investors.

  • Counseled a 1934 Act reporting company regarding the restructuring of outstanding debt and the subsequent registration of shares issuable in connection with such debt
  • Counseled an AMEX-listed television network regarding a tender offer by a hedge fund for all outstanding common stock and the related exchange offer for outstanding preferred stock valued at over $1 billion.°
  • Advised an NYSE-listed company regarding its $1.1 billion acquisition by a publicly traded asset manager.°
  • Advised one of the largest privately held sugar cooperatives regarding multiple acquisitions.°
  • Advised an operator of low power television stations relating to its acquisition of a New York low power television station and other matters.°
  • Advised a Florida-based technology company regarding a private placement of securities to a venture capital firm.°
