A Greenberg Traurig team in Fort Lauderdale helped National Fidelity Holdings Inc. acquire Ashmere Insurance Co. and simultaneously relocate the company from Illinois to Florida.
Shareholders Fred Karlinsky and Mathew Hoffman and attorneys Andromeda Monroe and Jamey Zellner represented National Fidelity in its $15.4 million purchase of Ashmere's outstanding stock.
"The target of the acquisition was Ashmere, a company that was very interesting to our client because it's effectively a clean shell, meaning it had either low or limited liabilities attributed to it, and it's licensed in 40 states plus the District of Columbia," said Karlinsky, co-chair of the firm's insurance, regulatory and transactions practice group.
