Greenberg Traurig’s Jeffrey Kahn and Marc Baluda Speak at the 2017 ESOP Association Conference and Trade Show

LAS VEGAS – Nov. 27 2017 – Jeffrey S. Kahn and Marc R. Baluda, co-chairs of global law firm Greenberg Traurig, LLP’s Employee Stock Ownership Plan (ESOP) Group, spoke at the ESOP Association’s Conference and Trade Show in Las Vegas, Nov. 9-10, 2017. More than 1,700 people attended the two-day event, which included more than 60 sessions to keep industry professionals well-informed of the technical aspects of managing an ESOP transaction, as well as associated federal laws and regulations.

Kahn spoke on the panel, “Growing ESOP Companies through Acquisitions.” Panelists addressed complex financial and legal issues involved when ESOP companies make acquisitions including: (1) various acquisition structures (including the asset vs. stock purchase decision as well as other structuring alternatives), and (2) important legal considerations the acquirer needs to be cognizant of when making acquisitions.

Baluda spoke on the panel, “ESOP Insurance – Current Trends with Fiduciary Liability, Directors & Officers, and Representations & Warranties Insurance.” The panel featured speakers addressing insurance coverage for both mature ESOPs and companies that are planning an ESOP transaction.

Kahn, shareholder in the firm’s Global Benefits and Compensation Group, focuses his practice on the design, implementation, and operation of ESOPs. As a frequent lecturer and author, Kahn is published in professional and trade magazines and lectures before professional, charitable, financial, and business audiences on ERISA, ESOPs, and other employee benefit subjects. His noteworthy recent major ESOP representations include some of the largest ESOP transactions in the industry. Baluda, shareholder in the firm’s Corporate Practice, focuses his practice on transactions and financings involving privately held middle-market and emerging growth companies seeking liquidity. He handles strategic acquisitions and spinoffs, private sponsor, and institutional buyer transactions with a particular emphasis on ESOP transactions.
