Gabe Fleet represents creative individuals, brand owners, digital media services and entertainment companies in connection with a broad range of entertainment matters, intellectual property matters and commercial transactions. His practice has an emphasis on bridging the gap between players in the entertainment industry and companies outside the entertainment industry, and on helping clients navigate the complex legal and business issues unique to the space where these two worlds intersect.

Gabe’s practice involves the licensing of music, motion pictures, television programs and other entertainment content on behalf of high-profile consumer brands and clients with cutting-edge new media services, as well as the creation of original, branded entertainment content for use as part of innovative marketing initiatives and new consumer-facing offerings. Gabe also leverages his experience as a former professional musician and artist manager in his representation of recording artists, songwriters and other creative people, and has experience facilitating a wide array of transactions for such individuals both within and outside the entertainment industry.

  • Represents talent, brand owners, media outlets, agencies and production companies in connection with the creation and exploitation of branded entertainment content and the entertainment-related aspects of marketing, advertising and promotional campaigns, including music licensing, other third-party rights clearances, talent agreements, production agreements, user-generated content, Internet and mobile exploitation and brand/product integration.
  • Negotiates sponsorship agreements, endorsement agreements, co-marketing agreements and other agreements related to a wide array of arrangements between brand owners, entertainment content rightsowners and celebrities.
  • Negotiates complex intellectual property license agreements, personal services agreements and joint venture agreements for celebrity-branded products, services and establishments.
  • Represents artists, producers, songwriters, actors, on-camera personalities and other creative individuals, as well as independent record labels, independent music publishers and artist management companies, in connection with the negotiation of recording agreements, publishing agreements, production agreements, personal management agreements, talent agreements, and other "core" entertainment industry transactions.
  • Advises and counsels celebrities and other public figures regarding issues related to the exploitation, protection, infringement and monetization of their name, image, voice and likenesses.
  • Negotiates complex content license agreements with record companies, music publishing companies, performing rights organizations (ASCAP, BMI, SESAC, etc.), motion picture studios, television networks and various other content providers regarding the licensing of music, motion pictures, television programs, artwork and other creative content for use in various types of digital media offerings, including permanent download services, "on-demand" and "non-interactive" streaming music services, video-on-demand services, cloud-based media locker services, digital jukeboxes and a wide variety of video game products.
  • Advises and provides strategic counseling to clients operating in the digital media space regarding copyright issues, rights of publicity and other intellectual property issues associated with new business models, including cutting-edge legal developments, complex rights licensing issues, negotiation strategy, legal exposure and risk avoidance.
  • Represents entertainment companies, celebrity-owned holding companies and operational entities, and other brand owners in connection with entity formation, joint ventures, mergers, acquisitions, divestitures, debt and equity financing, corporate governance and shareholder and member relations.
  • Lead counsel for Fortune 100 digital media company in connection with co-marketing and sponsorship agreement with Fortune 100 telecommunications company related to branded concert series and various content distribution initiatives, as well as related rights clearance matters.       
  • Lead counsel for an industry-leading creative agency and production company in connection with all transactional matters, including production agreements, master service agreements, statements of work, consulting agreements, talent clearances and music licenses. Specific matters include projects for some of the world’s most significant and well-known digital media companies, mobile carriers, car manufacturers, beverage companies and other consumer products companies related to non-traditional "guerilla-style" artist performances, sponsored concerts, other live events and the creation and distribution of branded music-related content.
  • Lead counsel for various brand owners and celebrity musicians in connection with the negotiation of a wide array of tour sponsorship agreements, endorsement agreements and other similar arrangements.
  • Lead counsel for Fortune 100 software and digital device company in connection with the acquisition of all necessary music and artist name/likeness rights for use in connection with the roll-out of a ground-breaking musical "mixing" application and related hardware for the company’s proprietary tablet device.
  • Represented entertainment companies and other brand owners in connection with the negotiation of agreements for the development and production of branded television specials and live events, as well as new and innovative opportunities for the monetization and distribution of existing "back catalog" content.  
  • Lead counsel for one of the nation’s largest radio and digital entertainment companies in connection with a first-of-its-kind consumer product promotional campaign involving the creation and widespread exploitation of music based upon consumer contributions and created by world-famous recording artists specifically for a new product line.
  • Represented numerous internationally-acclaimed recording artists, songwriters, producers, on-screen talent and other creative individuals, as well as independent record labels and music publishers, in connection with a wide array of transactional matters throughout the entertainment industry.  
  • Lead entertainment licensing attorney for one of the world’s leading independent video game development studios, creators of blockbuster music performance simulation and dance game franchises. Representation has involved the negotiation and management of hundreds of licenses to acquire all requisite rights for the music, artwork, choreography and other entertainment content used in the company’s various game products.
  • Lead music licensing counsel for North America’s largest digital jukebox company. Representation has included serving as lead counsel for an historic arrangement with one of the world’s most iconic bands and its record label to acquire the exclusive rights to make the entire catalog of that band’s recordings available on digital jukeboxes for the first time.   
  • Lead counsel or co-lead counsel in the negotiation of dozens of complex content license agreements with record companies, music publishing companies, performing rights organizations and other content providers regarding the acquisition of all necessary rights to make music, artwork and other creative content available via various types of ground-breaking digital media offerings. Clients in this space include many of the world’s largest entertainment, media, technology, software and wireless communications companies, as well as cutting-edge digital media start-up companies.
  • Lead counsel in the negotiation of a series of license agreements with major and independent film studios to acquire rights to make available motion picture content as part of a first-of-its-kind mobile- and social media-based film trivia application.
  • Represented world-famous, celebrity-affiliated lifestyle brand in connection with the expansion of its brand throughout the restaurant, hospitality, gaming, food and beverage, apparel and consumer products industries. Representation has included the negotiation of complex, multifaceted intellectual property license, franchise and joint venture agreements for the sale of licensed products and the creation and operation of branded restaurant, casino and hotel properties throughout the world, as well as coordinating all applicable alcohol beverage license and gaming license efforts and related regulatory compliance.
  • Represented one of country music’s biggest stars in connection with the launch of a branded liquor line, including the negotiation of various related agreements and the coordination of legal compliance efforts.
