  • Participated in the work for GLP, a leading global investment manager and business builder in logistics, real estate, insurance and related technologies, in connection with financing aspects related to the acquisition of Goodman Group’s Central and Eastern Europe logistics real estate portfolio.
  • Participated in the work for REINO RF CEE Real Estate, the Luxemburg-based fund created as part of the strategic cooperation between REINO Capital and the Australian fund, RF CorVal, in connection with financing aspects of the attempted acquisition of the BUMA Group real estate portfolio. 
  • Participated in the work for Credit Suisse Asset Management Global Real Estate in connection with financing of the acquisition of the Astoria Premium Offices located in Warsaw. 
  • Participated in the work for Tritax EuroBox plc, a fund investing in Continental European logistics real estate assets, in connection with financing of the acquisition of a technologically advanced logistics facility in Stryków, Central Poland, from one of the Panattoni Europe group companies.
  • Participated in the work for Cyfrowy Polsat S.A. in connection with obtaining a pioneering PLN 1 billion incremental facility with certain Polish and foreign institutions.
  • Participated in the work for CEDC and Roust in connection with the restructuring and offering of high yield notes in the amount of USD 385 million.
  • Participated in the work for Empik group in connection with PLN a 120 million credit facility.
  • Participated in the work for Goldman Sachs International, Morgan Stanley and Lloyds Bank, as initial purchasers on Polish law aspects in connection with a GBP 300 million Senior Secured Notes and EUR 290 million Senior Secured Floating Rate Notes issued by Vougeot Bidco plc and related loan agreements.
  • Participated in the work for Grupa Pracuj in connection with a PLN 210 million credit facility.
  • Participated in the work for Bainbridge group in connection with the financing of the acquisition of four shopping centers in Warsaw, Krakow, Toruń and Łódź. 
  • Participated in the work for Kemetyl group in connection with the Polish aspects of amending the terms of group indebtedness.
  • Participated in the work for Pfleiderer Grajewo S.A. in connection with the refinancing and amending the terms of its indebtedness, which included, inter alia, a revolving credit facility with tranches in the amount of EUR 60 million and PLN 200 million, ancillary facilities and notes in the amount of EUR 322 million.
  • Participated in the work for Cyfrowy Polsat and Polkomtel in connection with financing aspects of the Midas acquisition.
  • Participated in the work for Cyfrowy Polsat Group in connection with a PLN 12.5 billion international bank financing. 
  • Participated in the work for Kravco Company in connection with the financing of the Młociny shopping center.
  • Participated in the work for Mayland Real Estate in connection with the financing of Centrum Handlowe Riviera in Gdynia.
  • Participated in the work for Cyfrowy Polsat S.A. in connection with all aspects of the acquisition of Polkomtel sp. z o.o., which included (i) negotiating agreements with existing shareholders, (ii) issue of Cyfrowy Polsat’s new shares and their admission on the WSE, as well as (iii) refinancing of the existing indebtedness of the Cyfrowy Polsat and Polkomtel capital group (Senior Notes, PIK Notes and Senior Facilities). The value of the transaction was PLN 6.15 billion.
  • Participated in the work for Berlin Hyp AG in connection with refinancing of the Valad portfolio that includes Janki Shopping Centre. The value of the total refinancing was EUR 324 million.
     
  • Participated in the work for Cyfrowy Polsat in connection the issue of series C green bonds with an aggregate nominal value of PLN 1 billion.
  • Participated in the work for Cyfrowy Polsat in connection with the issue of series B bonds with an aggregate nominal value of PLN 1 billion.
  • Participated in the work for Deutsche Bank AG in connection with the completion of the sale and demerger of Deutsche Bank Polska S.A.’s local Private & Commercial Banking business to Santander Bank Polska S.A. (formerly Bank Zachodni WBK).
  • Participated in the work for Cyfrowy Polsat Group in connection with the acquisition of 100% of shares in companies owning the Eska TV, Eska TV Extra, Eska Rock, Polo TV and Vox Music TV channels from ZPR Media Group, and 34% of the shares in the company owning the Fokus TV and Nova TV stations, as well as in connection with the preliminary agreement to purchase a further 15% of shares in this company in the future.
  • Participated in the work for Grupa Pracuj sp. z o.o. in connection with the sale of a minority stake in the Company to TCV, an international investment firm.
  • Assisted Cyfrowy Polsat as the issuer in a PLN 1 billion notes offering, the first of its kind under the new Bonds Act.
  • Participated in the work for BNP Paribas in connection with the acquisition of 90% of shares in Bank Gospodarki Żywnościowej S.A. from Rabobank. The value of the transaction was PLN 4 billion.
  • Participated in the work for Energa S.A. in its PLN 2.4 billion IPO on the WSE.
  • Participated in the PLN 680 million IPO of Zespół Elektrowni “Pątnów-Adamów-Konin” S.A. on the WSE.
     
  • Participated in the purchase of portfolio of 14 logistic properties from Panattoni/Standard Life and Panattoni /Pramerica by Blackstone; total area of 500,000 sq. meters.
  • Participated in the work for Blackstone in connection with the €222.5 million acquisition of Legnicka Development (the owner of Magnolia Park Shopping Center in Wrocław) from investment funds NFI Octava and Manchester Securities Corporation.°
