Aleksander Janiszewski


Aleksander Janiszewski focuses his practice on representing borrowers and lenders in domestic and cross-border bank financings, including syndicated, acquisition, leveraged, DIP and LOC facilities. Aleksander also has experience in debt offerings, including high yield.

Prior to joining Greenberg Traurig Aleksander has worked at top international law firms in New York and London. He is admitted to practice in New York, England and Poland.

  • Represented Tele-Fonika in connection with its refinancing and financing of its acquisition of JDR Cables.
  • Represented Innova Capital in the financing of its acquisition of Profim.
  • Represented Empik group in connection with PLN 120 million credit facility.
  • Represented Innova Capital in the financing of its tender offer for Pekaes.
  • Represented Pekaes in connection with the revolving credit facility.
  • Represented Pfleiderer Grajewo group in connection with the refinancing and amending the terms of its indebtedness, which included, inter alia, the revolving credit facility with tranches in the amount of EUR 60 million and PLN 200 million, ancillary facilities and notes in the amount of EUR 322 million.
  • Represented Cyfrowy Polsat and Polkomtel in connection with financing aspects of the Midas acquisition.
  • Represented Cyfrowy Polsat group in PLN 12.5 billion international bank financing.
  • Represented Żabka Polska in connection with PLN 1.3 billion financing.
  • Represented Penta Investments, a shareholder of Empik Media & Fashion, in connection with the restructuring of EMF’s PLN 1.2 billion debt. The transaction included EMF’s offering of PLN 128.8 million of unsecured bearer bonds and EUR 38 million of unsecured registered bonds, the mezzanine loan in the amount of EUR 25 million and amendments to credit facility and intercreditor agreements.
  • Represented a syndicate of more than 20 Polish and international banks, arranged by Crédit Agricole, Santander Bank, Bank Zachodni WBK, Bank Pekao, Bank Handlowy and Bank PKO BP, in USD 2.5 billion revolving credit facility for KGHM.
  • Represented JPMorgan and KeyBank, as lead arrangers and administrative agents, in USD 3.5 billion credit facilities for Dominion Resources and Virginia Electric and Power Company.°
  • Represented Swiss Re in the multibillion-dollar portfolio of letter of credit and revolving credit facilities.°
  • Represented JPMorgan, as a lead arranger and administrative agent, in USD 25 million debtor-in-possession credit facility for Local Insight.°
  • Represented JPMorgan, Deutsche Bank and Bank of America, as lead arrangers, in USD 3.45 billion credit facilities for Universal Health Services.°
  • Represented BNP Paribas, as a lead arranger and syndication agent, in USD 775 million secured term loan facility for The Gavilon Group in connection with its acquisition of DeBruce Grain.°
  • Represented Allen System Group in financing of its acquisition of visionapp AG.°
  • Represented Ingersoll-Rand in USD 1 billion senior unsecured credit facility with JPMorgan.°
  • Represented Centerbridge Partners in financing of its acquisition of American Renal Associates.°
  • Represented MedQuist in USD 225 million credit and USD 85 million mezzanine financings.°
  • Represented TMF Poland as Polish security agent in connection with USD 3.25 billion offering of high yield notes by Valeant.
  • Represented CEDC and Roust as Polish counsel in connection with the restructuring and offering of high yield notes in the amount of USD 385 million.
  • Represented Bank Pekao, as creditor and agent, and Pekao Investment Banking, as offering agent, in connection with PBG’s restructuring and offering of notes, which was the largest transaction of this type in Poland.
  • Represented Cyfrowy Polsat, as issuer, in PLN 1 billion offering of notes, the first of its kind under the new Bonds Act.
  • Represented Goldman Sachs and JPMorgan as Polish counsel in two tap offerings of high yield notes by Coveris Holdings in the aggregate amount of USD 240 million.
  • Represented JPMorgan, as a representative of several initial purchasers, in USD 375 million offering of notes pursuant to Rule 144A by Antero Resources.°
  • Represented TAG Immobilien AG in EUR 200 million offering of high yield notes.°
  • Represented Wells Fargo, UBS and Raymond James, as representatives of underwriters, in USD 204 million initial public offering of Federated Enhanced Treasury Income Fund.°
