WARSAW – May 31, 2019 – Greenberg Traurig, LLP advised Cyfrowy Polsat on the issue of series B bonds with an aggregate nominal value of PLN 1 billion.
On April 26 2019 Cyfrowy Polsat, within its bond issue program, issued unsecured bearer series B bonds. The bonds were issued through a public offering addressed solely to professional clients, which did not require a prospectus or an offering memorandum to be prepared. The company introduced the bonds to the Alternative Trading System operated by the Warsaw Stock Exchange within the framework of the Catalyst market on May 31 2019.
The transaction also included refinancing of the series A bonds issued by Cyfrowy Polsat in 2015. Greenberg Traurig also advised on this process and it was then a first bond issue governed by the new Bonds Act in Poland.
Greenberg Traurig provided complex legal advice for Cyfrowy Polsat and advised on the establishment of the program, the public offering, dematerialization of the bonds and the introduction to trading on the Alternative Trading System. Recently Greenberg Traurig also represented Cyfrowy Polsat in the acquisition of a majority stake in Netia, a publicly listed WSE company, as well as Telewizja Polsat in the acquisition of a majority stake in the Polish entity Eleven Sports Network.
