Santos Gonzalez Victorica focuses his practice on international corporate transactions, including cross-border mergers and acquisitions, financings, joint ventures, securities offerings and capital markets. He advises multinational corporations and strategic investors doing business across Latin America and in the United States.

Santos handles a wide range of contract negotiations, including stock and asset purchase agreements, financing and refinancing agreements, joint venture agreements and partnership agreements, as well other investment-related agreements and transactions.

Santos has deep experience handling legal work related to business transactions in numerous international jurisdictions, including Argentina, Mexico and other Latin American countries. He holds an LL.M. with a focus in business law and an M.B.A. degree.

  • Aeropuertos Argentina 2000 S.A., the concessionaire responsible for operations at Argentina’s 35 airports, in an exchange offer to holders of two series of senior secured notes due in 2027, valued at approximately $209 million, for a new issue of 8.5% notes due in 2031. The company also raised $126 million in new financing through two offerings: $64 million in additional 8.5% notes due in 2031 and $62 million in new 9.5% senior secured notes due in 2028.
  • ACI Airport Sudamérica, S.A. in its exchange offers to repurchase and exchange any and all of its outstanding 6.875% Senior Secured Guaranteed Series 2015 Notes Due 2032 issued on May 7, 2015 and its outstanding 6.875% Cash/7.875% PIK Senior Secured Guaranteed Series 2020 Notes due 2032 issued on May 26, 2020 for newly issued 6.875% Senior Secured Guaranteed Notes due 2034 and solicitation of consents to certain proposed amendments to the indenture governing the Existing Notes.

  • Aeropuertos Argentina 2000 S.A., the airport concessionaire for 33 of Argentina's airports, in a US$400 million offering of 6.875% senior secured notes due 2027, collateralized by revenue rights derived from the company's concession contract.° This offering refinanced a previous bond offering in 2010 that won the “Structured Financing Deal of the Quarter Century Award” and was cited as the “Structured Financing Deal of the Year in 2011” by Latin Finance.
  • Represented a limited liability company in the acquisition of the Series E Preferred Units of a California-based medical research company, in the amount of $40 million, and a strategic $20 million debt investment, convertible into preferred equity, in a Delaware limited liability company, with an option to acquire an additional $20 million in equity, upon and subject to the initial public offering of the company.
  • Represented a worldwide co-working and office space lessor and developer in the acquisition and merger with one its main competitors, which included the acquisition and merger of several subsidiaries located in Argentina, Mexico, Colombia, Peru, Chile and Uruguay.
  • Represented Aeropuertos Argentina 2000 S.A., the concessionaire responsible for operations at the majority of Argentina’s 56 airports, in an exchange offer and consent solicitation. Aeropuertos Argentina 2000 S.A. offered to exchange any and all of its outstanding 6.875 percent Senior Secured Notes due in 2027, in the original aggregate principal amount of $400 million, for newly issued 6.875 percent cash/9.375 percent Payment-In-Kind (PIK) Class I Series 2020 Additional Senior Secured Notes due in 2027.

  • Represented Avianca Holdings S.A. on several corporate and financing transactions, including the financial reprofiling of substantially all of the company’s debt and lease obligations.
  • Represented ACI Airports Sudamerica, S.A., the concessionaire of the Carrasco International Airport in Montevideo, Uruguay, in an exchange offer and consent solicitation. ACI Airports Sudamerica, S.A. offered to exchange any and all of its 6.875 percent Senior Secured Guaranteed Notes due in 2032, in the original aggregate principal amount of $200 million, for newly issued 6.875 percent cash/7.875 percent PIK Senior Secured Guaranteed Notes due in 2032.
  • Represented Corporación América Airports S.A., an acquirer, developer and operator of airport concessions throughout Latin America and Europe, in its US$485 million initial public offering (IPO) on the New York Stock Exchange.
  • Represented The Related Group, one of the largest real estate developers in the United States, in a number of joint ventures and development projects throughout Mexico, Argentina and Brazil.
  • Represented Matheson Tri-Gas, Inc., in the negotiation and execution of a Pipeline Supply Agreement and ancillary documents in connection with the engineering, construction and installation of a pipeline station and custody storage transfer station and the supply of gaseous oxygen, gaseous nitrogen and compressed air.
  • Represented an Argentine joint venture in the acquisition of majority stockholding of the Argentine and Chilean subsidiaries of a French electricity and gas company which owned and operated a gas pipeline in Argentina and Chile. °
  • Represented an Argentine-Chilean private equity fund in a secured loan facility granted by a financial institution in the Netherlands for the construction of an oil pipeline between Argentina and Chile. °
  • Represented a Swedish private equity group in a US$65 million financing and acquisition of an Argentinean corporation for the development of a wind power generation plant in Argentina.°
  • Represented a French multinational company in the US$7 million sale of its Argentine subsidiary.°
