GT Represented Benefit Systems in the Process of Raising Funds through the Issuance of New Shares and the Sale of Treasury Shares

WARSAW – June 7, 2018 - Greenberg Traurig advised Benefit Systems S.A. in the process of obtaining funds for the further development of the Benefit Systems S.A. group by way of: (i) the issuance of 184,000 ordinary bearer shares with the exclusion of the pre-emptive rights of current shareholders of the company; and (ii) the sale (further resale) of 100,000 treasury shares of the company.

The transaction was carried out by means of a bookbuilding process through a public offering addressed only to certain categories of investors, in case of which there was no obligation to prepare a prospectus or other offering document in connection with such offering.

The issuance of the shares was conducted through a private placement within the meaning of the Polish Commercial Companies Code, addressed to selected investors, while the sale of the treasury shares was carried out in the form of block trades on a regulated market operated by the Warsaw Stock Exchange, with selected investors as well.

The total value of the transaction was approximately PLN 300 million.
