Greenberg Traurig represents CCC Group in the PLN 500 million investment in eobuwie.pl from SoftBank in the form of convertible bonds

WARSAW, July 5, 2021 - Greenberg Traurig advised the CCC Group on signing an agreement with an entity from the Softbank Group, under which SoftBank Vision Fund 2 will invest PLN 500 million in eobuwie.pl S.A. - one of the leading online footwear platforms and clothing in Central and Eastern Europe. 

In accordance with the terms of the agreement signed with the CCC Group, SoftBank will invest in eobuwie.pl by taking up convertible bonds. The bonds will be automatically converted by eobuwie into shares of eobuwie in the event of eobuwie IPO, which is planned in the next 12-24 months, or certain similar transactions specified in the terms and conditions of the bonds. The convertible bonds will be issued under an exemption from the obligation to publish an issue prospectus, information memorandum or any other offering document and they would not be introduced to trading on any market.

According to the CCC Group, the long-term goal of eobuwie.pl is to strengthen the position of the European leader e-commerce in the footwear and clothing segment. The partnership with SoftBank will support its plans regarding further expansion in new markets, launching modern logistics centers outside Poland and developing new services, such as marketplace. The investment in eobuwie.pl confirms its strong position on the e-commerce market and the potential for future growth.

In March 2021 Greenberg Traurig announced representing CCC Group in bringing new investors into eobuwie.pl via a pre-IPO transaction for PLN 1 billion - CCC Group announced the signing of two conditional preliminary agreements regarding the sale of two 10% stakes in eobuwie.pl to Cyfrowy Polsat and A&R Investments Limited, one of the shareholders of InPost S.A., respectively.
