Lee Ann Anderson

Lee Ann Anderson focuses her practice on capital markets, structured finance and corporate transactions, with broad experience in U.S. and cross-border securities offerings. In the current global crisis, Lee Ann serves as a member of our COVID-19 Economic Stimulus Response Team and has counseled scores of companies about relief under Titles I and IV of the CARES Act and relief programs established by the Federal Reserve.

Lee Ann counsels issuers and investment banks on certificates of deposits, including rates-, commodities-, equity-, and proprietary index-linked products. She has wide-ranging experience in debt and equity capital markets, securitizations, and other structured finance transactions. Her practice has included scores of domestic and international debt and equity offerings, as well as securitizations of receivables and other collateral, complex tax-based structures utilizing swaps and other derivatives. Lee Ann also has advised a number of foreign and domestic public companies with respect to a wide range of corporate and securities matters, including reporting obligations.

Additionally, Lee Ann has deep experience counseling clients on corporate transactions, including mergers, stock purchases, asset sales, joint ventures, and other reorganization transactions. She also provides a range of general corporate and governance advice. Lee Ann has a strong commitment to pro bono work and served as a pro bono coordinator at her previous firm.

  • Representing issuers and underwriters in registered debt and equity offerings (including IPOs and preferred stock), debt exchange offers, and issuer tender offers and restructurings.°
  • Advising investment banks and issuers on the structuring and offering (registered and private placement) of equity-, commodity-, and currency-linked debt securities and on the development of proprietary indices (including advice on securities law and Investment Company Act issues).°
  • Advising public companies on disclosure documents, 1934 Act reporting documents, federal and state securities laws, stock exchange regulations, and corporate law and governance requirements.°
  • Representing finance companies and investment banks in complex tax-based and other structures utilizing swaps and other derivatives with foreign and domestic counterparties.°
  • Advising investment banks and issuers on the structuring and offering of fixed income products, including repackaging transactions, CLOs and related credit, interest rate, and currency derivatives.°
  • Advising counterparties on repurchase and swap transactions and the strategic use of credit derivatives.°
  • Representing acquirors, targets, and financial advisors in acquisition transactions (including mergers, stock purchases, asset sales, tender offers and Section 363 sales).
  • Advising distressed debt funds on the strategic use of credit derivatives.°
  • Representing parties to joint venture formation transactions.°
  • Co-Lead Counsel in post-conviction state court proceedings and resentencing hearing in an Oklahoma death penalty case, 2001-2003.°
  • Co-Lead Counsel in federal habeas corpus proceedings in a Virginia death penalty case, 1994-1997.°
