Experience

  • Participated in the work for Pfleiderer Grajewo S.A. in connection with refinancing and amendment of the existing indebtedness of the company and certain subsidiaries, which included, inter alia, a revolving credit facility agreement with tranches of EUR 60 million and PLN 200 million, ancillary facility agreements and notes in the amount of EUR 322 million.
  • Participated in the work for Bank Pekao S.A., one of the largest creditors of PBG S.A. in the court-supervised restructuring of PBG’s debt, one of the largest such procedures in Poland’s history. The aggregate value of the receivables of PBG’s creditors exceeded PLN 3.2 billion.
  • Participated in the work for Penta Investments Ltd., a shareholder of Empik Media & Fashion, in connection with the refinancing of EMF’s PLN 1.2 billion debt. The transaction included the offering of PLN 128.8 million unsecured bearer bonds and EUR 38 million unsecured registered bonds of EMF, a mezzanine loan in the amount of approx. EUR 25 million and amendments to the credit facility and intercreditor agreements.
  • Participated in the work for a consortium of 20 banks in the restructuring of Celsa Huta Ostrowiec’s PLN 2 billion debt.°
  • Participated in the work for the Polsat Group in connection with the acquisition of the Interia Group.
  • Participated in the work for BNP Paribas Group in connection with the acquisition of the core banking business of Raiffeisen Bank Polska S.A. by Bank BGŻ BNP Paribas S.A. and the related equity investment of PLN 430 million by the European Bank for Reconstruction and Development through the acquisition of a circa 4.5 percent stake in BGŻ BNP Paribas from Raiffeisen Bank International AG and BNP Paribas SA.
  • Participated in the work for Société Générale in connection with the sale of Euro Bank, its retail banking subsidiary in Poland, to Bank Millennium.
  • Participated in the work for Innova Capital, a private equity fund, on the acquisition of a majority stake in PEKAES S.A. from Kulczyk Investments S.A. and Kulczyk Holding S.A.
  • Participated in the work for Cyfrowy Polsat S.A. in connection with all aspects of the acquisition of Polkomtel sp. z o.o. including (i) negotiating agreements with existing shareholders, (ii) issuing of Cyfrowy Polsat’s new shares and their admission on the WSE, as well as (iii) refinancing of the existing indebtedness of Cyfrowy Polsat and the Polkomtel capital group (Senior Notes, PIK Notes and Senior Facilities). The value of the transaction was PLN 6.15 billion.
  • Participated in the work for Spartan Capital Holdings in connection with LBO financing for the acquisition of Polkomtel and the development of the LTE network.
  • Assisted in matters related to the acquisition of FLiD Drumet sp. z o.o. by Penta Investments.
  • Participated in legal due diligence of insurance companies in connection with their planned acquisition by an industry investor.
  • Assisted in matters related to the financing for a Polish company provided by Bank Pekao S.A. in connection with the acquisition of another company.
  • Participated in the work for Pfleiderer AG in connection with a collateral package and intercreditor agreement with a group of lenders.
  • Participated in the work for Alior Bank in connection with the public program for the issuance of bonds for the amount of PLN 800 million.
  • Participated in the work for Raiffeisen Polbank in connection with the public offering and introduction to trading on the Bondspot market of Series A bonds with a value of PLN 500 million. The bonds are part of an Issuance Program with a total estimated value of PLN 2 billion.
  • Participated in the work for CEDC in connection with a EUR 380 million and USD 380 million debt offering.°
  • Participated in the work for GLP, a leading global investment manager and business builder in logistics, real estate, insurance and related technologies, on the Polish aspects related to the acquisition of Goodman Group’s Central and Eastern Europe logistics real estate portfolio.
  • Participated in the work for Benson Elliot, a leading, independent pan-European private equity real-estate fund manager, on the acquisition financing of the Diamentum Office building in Wrocław. 
  • Participated in the work for K-Trust, a South Korean fund managed by JR AMC, in connection with the acquisition financing of the Feniks office building, located in the Wola district of Warsaw.
  • Assisted in connection with the financing of a real estate investment in Warsaw by Bank Zachodni WBK S.A.°
  • Participated in the work for Syntaxis Capital Limited in connection with its investment in the capital of Etos S.A. and mezzanine financing provided to Etos S.A.°
  • Participated in the work for Syntaxis Capital Limited related to providing mezzanine financing to Kerten Capital in an LBO of another company.°
  • Assisted in connection with consumer loans collateralized on various financial instruments provided by Deutsche Bank PBC S.A.°
