Jonathan G. Giesen focuses his practice on representing banks, other financial institutions, and corporate borrowers in complex financing transactions, including asset-based and cash-flow secured and unsecured credit facilities, cross-border transactions, intercreditor arrangements, and acquisition financings. He often represents lead arrangers and agents in structuring and underwriting syndicated loan transactions.

  • Represented the administrative agent in a cross-border $50 million syndicated senior secured credit facility to a global music publishing company and certain of its U.S., U.K., Netherlands, German, Swedish and Luxembourg subsidiaries.
  • Represented both administrative agents and lead arrangers in related syndicated senior secured credit facilities to each of a fruit growing and processing company and its affiliated property holding company totaling $735 million to finance the acquisition of the largest U.S. producer of stone fruit. 
  • Represented U.S. and Canadian gaming subsidiaries of an Indian tribe, as borrowers, in connection with $41 million CAD senior secured credit facilities used to finance gaming operations and construction of a casino.
  • Represented the administrative agent and lead arranger in a $425 million syndicated senior secured credit facility to a leading poultry producer and certain of its subsidiaries.
  • Represented a major data center development and design company, as borrower, in connection with a $1.1 billion syndicated senior secured credit facility.
  • Represented the administrative agent and lead arranger in a $350 million syndicated senior secured credit facility to the leading U.S. dairy company and certain of its subsidiaries.
  • Represented an international bank as administrative agent and joint lead arranger in a $900 million syndicated senior secured term loan to a leading food services company to finance its acquisition of a majority stake in a leading U.S. beef producer.
  • Represented the administrative agent and lead arranger in a $350 million syndicated senior secured credit facility to a leading producer of sweeteners and certain of its subsidiaries in conjunction with a subordinated financing of a repurchase of its shares.
  • Represented gaming system and casino management software company, as borrower, and certain of its U.S. and non-U.S. subsidiaries (including subsidiaries in Spain, Mexico, Malta, Slovenia and Peru) in a $125 million syndicated senior secured credit facility.
