Mark C. Lee focuses his practice on mergers and acquisitions (including reverse acquisitions), corporate finance (including IPOs, Regulation A, alternative public offerings, PIPEs and Regulation D private placements), SEC compliance and reporting, and tech licensing for a client base ranging from emerging growth companies to established private and public companies.

Mark has broad industry experience including clean energy, oil and gas, technology, natural resources, insurance, financial services, pharmaceutical, cannabis and medical devices with clients in the U.S., Canada, China and the rest of Asia.

In addition to his experience practicing in international and regional law firms, Mark has served as general counsel and vice president of operations for two software and hardware companies. Prior to his legal career, he worked as an accountant and financial consultant.

  • Represented private companies in biotechnology, technology, clean energy, life sciences, mining, oil and gas, materials and agriculture in going public transactions (initial public offerings and reverse mergers)
  • Represented public companies in biotechnology, technology, clean energy, life sciences, mining, oil and gas, materials and agriculture with mergers and acquisitions, finance, intellectual property licensing, SEC compliance and SEC, FINRA and foreign regulatory inquiries and investigations
  • Represented insurance brokers and financial services firms in formation, purchase and sale transactions, regulatory and tax matters
  • Represented Chinese (PRC) companies with U.S. legal matters, including contracts, disputes, intellectual property licensing, formation, securities, employment and regulatory
  • Represented public clean energy company in reverse acquisition and alternative public offering in excess of $20 million.
  • Represented two companies in public offerings aggregating more than $110 million.
  • Represented public technology company in a $300 million merger transaction.
  • Represented insurance brokers and financial services firms in purchase and sale transactions in excess of $300 million.
  • Represented public oil and gas company in complex securities investigation and dispute.
  • Represented a public natural resource company in financings and acquisitions in excess of $20 million.
  • Involved in negotiating and closing the merger of a private software company in an $8 million transaction.
  • Involved in negotiating licensing, development, OEM, collaboration, strategic and service agreements with Fortune 1000 companies.
