Tom Shebar has more than 17 years of experience in transactional law. He focuses his practice on cable television distribution agreements, retransmission consent agreements, mergers and acquisitions, media, data and technology licensing, and related corporate and commercial matters. In addition, Tom has experience in general corporate matters, including the structuring and creation of corporate entities, vendor, marketing and consulting agreements, and commercial real estate transactions.

Tom has broad experience in both in-house and law firm environments. His experience negotiating, structuring, and drafting complex commercial and corporate agreements and managing the content acquisition legal team for a Fortune 200 media distribution company enables Tom to understand the practical imperatives that drive his clients’ business interests and to effectively pursue those interests in deal structuring and contract negotiations.

  • Negotiated and structured distribution agreements for domestic and international linear television content, related VOD assets and OTT rights with major cable and broadcast TV programmers, including Viacom, CBS/Showtime, Fox, NBCUniversal, Turner Broadcasting/HBO & Cinemax, A+E Networks, and Scripps Networks Interactive, AMC, and numerous local broadcast networks.
  • In 2-year period, closed content distribution deals with combined value in excess of $15 billion.

Negotiated and structured:

  • App and device distribution agreements with leading technology companies, including Apple, Amazon, Microsoft, and Roku.
  • Data measurement and matching agreements with leading providers of data services, including Nielsen, comScore, Adobe, and Equifax.
  • Numerous software application development agreements and complex licensing and service agreements.
  • Managed legal and real estate departments of Blockbuster LLC during management transition following DISH Network’s 2011 acquisition of Blockbuster Inc. assets in Chapter 11 bankruptcy sale; managed the legal evaluation and assumption/rejection process for 2,700 commercial agreements during 90-day bankruptcy review period.
