Ryan A. Wagner focuses his practice on Chapter 11 bankruptcy reorganizations, restructurings, workouts, distressed M&A, corporate and energy reorganizations and liquidations, distressed debt transactions, and other financial transactions. He also has broad experience in cross-border bankruptcies and restructurings, including the recognition and enforcement of such proceedings in the United States under Chapter 15 of the Bankruptcy Code. Ryan represents companies, debtors, plan proponents, lenders, secured and unsecured creditors, and bondholders in connection with all facets of such transactions and proceedings.

  • Representing objecting noteholders in PT Bakrie Telecom (Indonesia) Chapter 15 case involving US$770 million in debt (S.D.N.Y.).
  • Representing foreign representative of Recaudo Bogotá S.A.S. (Colombia) in connection with its Chapter 15 case involving approximately $100 million in debt.
  • Represented the Puerto Rico Electric Power Authority and the Puerto Rico Aqueduct and Sewer Authority in debt restructurings under PROMESA.
  • Represented Energy Future Holdings Corp. and 70 of its affiliates in their Chapter 11 cases in the U.S. Bankruptcy Court for the District of Delaware. EFH is the largest generator, distributor, and certified retail provider of electricity in Texas. EFH's Chapter 11 case is the largest ever filed in Delaware and the seventh largest Chapter 11 case filed in history, with over $49 billion in liabilities.
  • Represented SFX Entertainment, Inc. and its subsidiaries, producers and promoters of live electronic dance music events throughout the world, in their Chapter 11 cases. 
  • Represented dissenting Portuguese shareholders Pharol and Bratel in Oi, S.A. (Brazil) Chapter 15 cases involving approximately US$20 billion in debt (S.D.N.Y.).
  • Represented the Federal Deposit Insurance Corporation in its first-ever role as debtor in possession lender to Peak Resorts, Inc. and its affiliates during their Chapter 11 bankruptcy proceedings, successfully resolving more than $70 million in outstanding liabilities.°
  • Represented bond insurer in connection with the Chapter 9 bankruptcy of Jefferson County, Alabama, the largest municipal bankruptcy case in U.S. history until the City of Detroit’s bankruptcy filing.°
  • Represented a provider of intraoperative monitoring services with nationwide operations in Chapter 11 bankruptcy proceedings in the U.S. Bankruptcy Court for the District of Delaware, including the successful sale of substantially all of its assets for approximately $35 million.°
  • Represented Plan Administrator in connection with the Chapter 11 proceeding of Victory Memorial Hospital.°
