Greenberg Traurig Attorneys Represent Exactech Merger Agreement with TPG Capital

MIAMI – Feb. 16, 2018 - A multi-office Greenberg Traurig, P.A. team of attorneys represented Exactech, Inc. (Nasdaq: EXAC) in its merger agreement with global private equity fund TPG Capital and certain of its affiliates.

Gainesville, Florida-based Exactech, a long-standing client of the firm’s Miami office, is a leading developer and producer of orthopedic implant devices and surgical instrumentation for extremities and large joints. The company, which manufactures many of its orthopedic devices at its Gainesville facility, also markets orthopedic implant devices, related surgical instruments and biologic materials and services to hospitals and physicians in the United States, in addition to more than 30 markets in Europe, Latin America, Asia and the Pacific. Exactech’s orthopaedic products are used in the restoration of bones and joints that have deteriorated as a result of injury or diseases such as arthritis.

Exactech will now be a privately-held company still headquartered in Gainesville, and the company’s common shares will no longer be listed on the NASDAQ stock exchange.

The merger and related going-private transactions were led by Corporate Shareholders Jaret L. Davis (Miami), Clifford E. Neimeth (New York, Phoenix), and Drew M. Altman (Miami).

Other members of the Greenberg Traurig transaction team included Shareholders Evan A. Kanter (Miami), Mindy B. Leathe (Miami), Ejim Peter Achi (New York), Stephen M. Pepper (New York), Barry J. Schindler (New York), Chang Won Choi (Northern Virginia), Kara M. Bombach (Washington, D.C.), Karen C. Corallo (Washington, D.C.), Joseph C. Coates (West Palm Beach), and associates Taylor J.
