Shauro Bagchi represents companies and funds in connection with mergers and acquisitions, raising capital, and large-scale global and national technology transactions. His practice spans a variety of industries, with a focus in the manufacturing, agriculture, and technology/software space.

Shauro’s M&A practice covers domestic and international mergers, acquisitions, sales, divestitures, spin-offs, and joint ventures, representing sellers, as well as financial and strategic buyers, including private equity funds and family offices. Shauro has represented many of his fund clients (including sponsors) throughout their life cycle—formation, capital raising, restructuring, portfolio investment, and divestment.

Shauro has deep experience working with in-house legal counsel on commercial contract negotiations (with suppliers, vendors, distributors, customers, etc.) relating to software, platform and infrastructure subscriptions (SaaS, PaaS, and IaaS), electronic commerce, media and advertising, IP licensing, and other large-scale, complex commercial arrangements.

  • Represented a leading-edge health-IT company in its combination with an end-to-end social and patient care platform, forming the only nationwide solution for integration of health and social care.°
  • Regularly represents providers and purchasers of cloud services in connection with structuring and executing large-scale, enterprise level cloud-based subscriptions.°
  • Represents hedge funds, private equity funds and venture capital funds in connection with portfolio investments and acquisitions.°
  • Represents resort companies as outside general counsel, including in connection with acquisitions, divestitures, capital raising and commercial agreements and joint ventures.°
  • Regularly represents a large public company in connection with procuring IT functionality, procuring advertising, and protecting its marketing and advertising intellectual property.°
  • Represented an international public company in connection with a U.S. and international joint venture for the exploitation of patented intellectual property.°
  • Represented employment screening service provider in a sale to a private equity group in a multimillion-dollar transaction that also involved a pre-close spin-off of a software business.°
