Shayla Friesen focuses her practice in finance and restructuring, representing both borrowers and lenders in a variety of commercial financings, including working capital credit facilities, syndicated credit facilities, letters of credit, multicurrency facilities, acquisition financings, real estate and construction loans, asset-based loan transactions, and other secured and unsecured financings. Shayla assists project participants in the financing, ownership, leasing, development, and operation of energy and infrastructure projects. Her practice also includes facilitating debtor-in-possession financings, work-outs, foreclosures, and liquidations.

Shayla’s experience extends across many industries, including chemical & refining, construction, energy, financial services, telecommunications, entertainment and media, restaurants and franchises, health care, insurance, real estate, transportation, manufacturing, and technology.

  • Representation of a national banking association as leader arranger and administrative agent in an unsecured $250 million facility to a U.S. subsidiary of a multinational food manufacturing company.
  • Represented administrative agent and lead-left arranger in infrastructure financing for development and construction of gas storage facilities.°
  • Represented foreign bank and leasing affiliate in synthetic lease transactions financing the construction of new headquarters for Fortune 500 agribusiness and energy companies and other financings related to technology data centers.°
  • Represented public, diversified energy company in supply and offtake arrangement, convertible senior note and rights offerings, bridge and term loan facility with multiple private investment fund lenders, various acquisition and subsidiary financings, and restructurings.°
  • Represented lender in construction financing of 22 mile natural gas pipeline.

  • Represented NYSE listed oilfield services company in acquisition of private manufacturers, including a company formed under the laws of the Sultanate of Oman.
  • Represented full-service nucleic acid technology research organization in its merger with a global medical technologies and servicing company.

  • Represented various clients in the negotiation of asset and stock acquisitions and dispositions, buyouts, securities offerings, employment and non-competition agreements, commercial contracts, and real estate leases.
  • Represented international agents for technology and manufacturing company, restaurant joint venture, and oil and gas investors in various commercial disputes involving breach of contract, non-competition, and tortious interference matters.
