Samuel L. Moultrie focuses his practice on complex litigation involving corporate governance, mergers and acquisitions, books and records demands, and securities law in Delaware state and federal courts, including the Court of Chancery. Sam also represents companies in cases involving trade secrets, tortious interference, and other related claims.

  • Secured dismissal of third-party defendant in an expedited matter before the Delaware Court of Chancery in 2021.
  • Represented former executive of financial institution in a white collar criminal prosecution, SEC investigation, and a federal class action securities fraud case.°
  • Represented client in prosecution of breach of fiduciary duty case involving a two-step scheme concluding in a freeze-out merger of minority shareholders.°
  • Represented client in prosecution of breach of fiduciary duty case involving a self-tender and subsequent freeze-out merger of minority shareholders.°
  • Recovery in excess of $1 million for shareholder and six-figure attorneys’ fee for supplemental disclosures in minority freeze-out merger of micro-cap company.°
  • Representation in Section 220 trial on the merits in Court of Chancery involving production of books and records of technology company.°
  • Defense of a lender and individual principal in case involving allegations of fraud and fraudulent transfer of assets.°
  • Representation of investment firm in statutory appraisal proceedings in Court of Chancery.°
  • Representation of companies in patent infringement and other intellectual property disputes in complex cases in the District of Delaware, Southern District of New York, and Eastern District of Texas.°
  • Representation of debtors, creditors, trustees, and other parties-in-interest in Chapter 7 and Chapter 11 proceedings, including preference and avoidance action litigation.°
