Ryan M. Moore is a business-focused litigator who represents corporations, private equity funds, and individual clients in complex commercial disputes, including shareholder class actions, derivative litigation, M&A litigation, and corporate governance matters. He counsels clients on litigation risks arising from strategic transactions and defends high-stakes claims involving fiduciary duties, securities law, contract disputes, and business torts. His practice spans trial through appeal, with experience before state and federal appellate courts, including the United States Supreme Court. A former law clerk to Judge Franklin S. Van Antwerpen on the U.S. Court of Appeals for the Third Circuit, Ryan brings a strong appellate perspective to every stage of a dispute.

Ryan represents clients across all phases of litigation, from pre-suit risk assessment through trial, post-trial motions, and appeals. He has defended Fortune 500 companies, global manufacturers, foreign central banks, and private equity funds in matters involving multihundred-million-dollar exposure, post-deal fraud claims, corporate governance and shareholder disputes, antitrust claims, RICO allegations, and ERISA fiduciary disputes. His trial experience includes multiweek proceedings in both state and federal court, and he has handled dozens of appeals across multiple federal circuits and state appellate courts. Ryan also has led internal investigations, on behalf of independent directors and others, to identify, value, and resolve potential wrongdoing by corporate executives and officers.

Beyond active disputes, Ryan advises clients on how to structure transactions and business decisions with the goal of minimizing future litigation exposure. He regularly presents and writes on M&A litigation issues and has been recognized on the Best Lawyers “Ones to Watch” list for Commercial Litigation and Criminal Defense: White-Collar from 2021 through 2025.
