Giorgio’s practice focuses on restructuring, work-outs and insolvency matters, both in-court and out-of-court, as well as assistance to creditors, board of directors in distressed and quasi-distressed situations, and assistance on distressed M&A transactions, as well as insolvency proceedings and related litigations. He also advises clients on distressed lending, UTP loan restructuring and special situations.

In those areas, Giorgio regularly advises both Italian and international clients (including corporations, investment funds, banks and financial institutions) on domestic and cross-border transactions.

Before joining Greenberg Traurig, Giorgio worked for top-tier leading Italian and global law firms.

  • Advised a company in the large-scale retail sector on the restructuring of its financial indebtedness through a composition with creditors, in both direct and indirect going-concern form pursuant to Article 84 of the Italian Code of Corporate Crisis and Insolvency, implemented via the issuance of equity-like financial instruments.°
  • Advised a multinational steel company on the incorporation of a newco and the subsequent acquisition of strategic assets out of a bankruptcy proceeding.°
  • Advised a major international manufacturer of industrial plants for the pottery industry on the acquisition of a business unit and related assets from a composition with creditors proceeding under Article 161 of the Italian Bankruptcy Law, initially structured as a business unit lease and subsequently converted into a purchase of the same unit within the composition with creditors proceeding.°
  • Advised a company in the hospitality and tourism industry on the restructuring of its financial and industrial indebtedness through a “blank” composition with creditors in going concern pursuant to Article 161, paragraph 6, of the Italian Bankruptcy Law, including the structuring of a bridge lease over a strategic business unit.°
  • Advised an international Oil & Gas group on a group-wide restructuring, with a focus on the financial reorganization of its Italian subsidiary following the commencement of Chapter 11 proceedings by its U.S. parent company.°
  • Advised a company active in the production of saddles and equestrian accessories on the restructuring of its banking and industrial indebtedness, including the incorporation of a newco, the transfer of an operating business unit to that newco, and the negotiation and documentation of standstill and moratorium agreements with the banking syndicate.°
  • Advised leading financial institutions in insolvency-related litigation, including claw-back actions under Article 67 of the Italian Bankruptcy Law, as well as broader litigation involving investment services, credit facility agreements, and other bankruptcy and restructuring matters.°
  • Advised top-tier banks, funds, and investment vehicles on the assessment, management, sale, and acquisition of UTP (Unlikely-to-Pay) loan portfolios, on both the sell-side and buy-side.°
  • Advised an international industrial family office on the acquisition of strategic business units in the civil and military aeronautics sector from extraordinary administration proceedings.°
  • Advised a major Italian bank in judicial and out-of-court civil and insolvency proceedings aimed at enforcing and protecting its credit claims against a group of companies under composition with creditors in the agri-food industry, including enforcement and recovery actions against shareholders and guarantors.°
  • Provided ongoing corporate advice to an international pharmaceutical and laboratory group on intra-group corporate reorganizations, including the drafting and review of corporate minutes, legal opinions, and powers of attorney.°
  • Provided corporate advice to a leading international manufacturer and distributor of musical instruments and audio devices on the day-to-day management of the company and its branches, including contract drafting and review, legal opinions, corporate minutes, and powers of attorney.°
  • Provided corporate assistance to an international group in the fruit and vegetable industry in connection with the replacement of the management body of an Italian group company.°
