Serving as bond counsel, Carey has represented a broad range of Texas political subdivisions including counties, school districts, cities, utility systems, regional mobility authorities, housing finance corporations and housing authorities, tollway authorities, colleges and universities, hospital districts, water districts, and other public and quasi-public institutions. His experience includes structuring a wide variety of debt obligations, including general obligation bonds, refunding bonds, certificates of obligation, tax anticipation notes, contractual obligations, maintenance tax notes, lease revenue bonds, utility system revenue bonds, sales tax revenue bonds, toll road revenue bonds, vehicle registration revenue bonds, venue tax revenue bonds, contract revenue bonds, and housing revenue bonds.
Beyond bond counsel engagements, Carey serves as underwriter's counsel, trustee's counsel, and bank counsel to financial institutions, and as disclosure counsel, issuer's counsel, and general counsel to local government entities and nonprofit corporations. His representation extends to related areas affecting public finance transactions, including Texas election laws, open meeting laws, political subdivision governance, federal income tax, and federal securities laws.
Carey’s perspective is informed by his prior service as an assistant attorney general in the Public Finance Division of the Office of the Attorney General for the State of Texas, where he approved the issuance of public securities and issued legal, valid and binding opinions on behalf of the Attorney General across the State.
Carey works closely with the administrative staff of his clients throughout each transaction, focusing on the financing objectives and organizational structure of the issuer to align legal strategy with institutional goals.
