Macy Nix focuses her practice on corporate and transactional matters. She has experience representing private and public companies in a variety of corporate transactions, including mergers, stock purchases, asset purchases and capital markets transactions. Macy advises clients on a wide variety of securities laws and governance matters, including drafting and reviewing annual, periodic and current reports and proxy statements, compliance with SEC/stock exchange rules and board meeting minutes, as well as with respect to day-to-day operational matters.

  • Represented Ardurra Group, Inc. and Round Table Capital Partners in the sale of Ardurra, a leading provider of multidisciplinary engineering and design services to water, transportation and aviation end-markets, to Littlejohn & Co. LLC.
  • Represented OPKO Health Inc. (Nasdaq: OPK) in the sale of its GeneDx unit, a leader in genomic testing and analysis for rare disorders to Stamford, Connecticut-based Sema4 Holdings Corp., which is an AI-driven genomic and clinical data intelligence platform company.
  • Represented OPKO Health Inc. (Nasdaq: OPK) in its acquisition of ModeX Therapeutics, Inc., a privately held biotechnology company focused on developing innovative multi-specific immune therapies for cancer and infectious diseases, for $300.0 million in OPKO common stock.
  • Representation of Ardurra Group, Inc., an engineering and consulting firm and portfolio company of Miami-based private equity firm RTC Partners, in its acquisitions of multiple engineering firms, including Gunda Corporation, Pevida Highway Designers, LLC, 300 Engineering Group, LLC and T-O Engineers, LLC.
