Greta Habib is a senior corporate and commercial lawyer with 20 years of experience as a trusted advisor to multinational corporations, governmental organizations, high-net-worth individuals and family enterprises across diverse business sectors in the MENA region.

Her practice focuses on complex cross-border structuring and restructuring transactions, including formation of companies, trusts and foundations as well as private equity funds’, deal structuring, exit strategy and regulatory and licensing support within the UAE and broader MENA region.

Greta’s corporate structuring experience spans across start-ups, foreign direct investments, regulatory and compliance matters, corporate governance frameworks, economic substance regulations, management and board structures, shareholders’ arrangements, strategic realignment of boards and stakeholders, succession planning, license renewals and reactivations, company deregistration and liquidation. She also advises on asset sales, business transfers, carve-outs, mergers and acquisitions, legal due diligence, joint ventures, corporate alliances, and contentious shareholders' disputes.

As a core part of her commercial practice, Greta assists clients across industries with drafting, negotiating, and enforcing a wide range of commercial contracts, including strategic commercial, market entry and operational, e-commerce and digital business, regulatory and sector-specific, risk management and dispute prevention agreements.

Prior to joining Greenberg Traurig, Greta founded and managed two cross-border corporate law firms in Beirut and Dubai, leading strategic growth, innovation, and client engagement across jurisdictions. She has also served in senior roles at a leading regional firm and was a lecturer in corporate and commercial law.

Greta holds an L.L.M. in Private International Law from Paris II – Panthéon-Assas University, is admitted to the Beirut Bar Association and is a registered legal consultant at Dubai Legal Affairs Department. Fluent in English, Arabic and French, she is recognized for her ability to deliver commercially sound, multi-jurisdictional legal strategies tailored to complex and evolving business landscapes.

  • Assisted the world’s largest general interest paperback publishing company in the acquisition of a group of companies spanning multiple jurisdictions in the MENA region, including UAE, Egypt, Tunisia, and Lebanon.°

  • Represented a prominent Dubai-based investment company and its subsidiaries in a complex real estate and debt collection dispute exceeding AED 1 billion dirhams. This multifaceted role involved conducting an exhaustive legal analysis of the case, formulating a comprehensive legal strategy, conducting investigations before the Dubai Land Department, drafting legal notices, initiating criminal proceedings against managers of the purchasing companies, enforcing personal guarantees, and orchestrating substantial commercial proceedings aimed at debt recovery and collection, drafting and negotiating the settlement agreement.°
  • Obtained the renewal of a global leading building material and solutions Fujairah-based company’s license, aligning it with newly applicable regulations before Fujairah Authorities. Secured a waiver for a substantial license renewal fee imposed by Fujairah Natural Resources Corporation.°
  • Advised on litigation proceedings on behalf of a renowned international automotive manufacturing company, representing the company in disputes against its regional distributor before Dubai Courts during the first instance, appeal, and cassation proceedings.°
