Toshiyuki Yoshida advises clients on global energy projects, cross-border mergers and acquisitions, and infrastructure transactions. He represents companies across the energy, power generation, utilities, and carbon solutions industries, with a geographic focus on the United States and the Asia-Pacific region. Toshi brings more than three decades of experience to his practice, and, before entering private practice, he held managerial roles at a major Japanese trading company, including assignments in Singapore and Australia, as well as positions on the boards of international energy companies in Japan and Australia. That operational background informs how he structures and implements complicated cross-border transactions for his clients today.
Toshi’s energy practice covers a broad range of project types and commodities. He advises clients on matters involving renewables, including solar, wind, and battery storage, as well as hydrogen, ammonia, carbon capture and sequestration, and liquefied natural gas. He also handles work involving conventional oil and gas and shale gas assets. His work in this space includes representing buyers and sellers in asset and equity acquisitions, advising on project development and financing, negotiating joint operating agreements and host government contracts, and counseling clients on disputes that arise from those arrangements. He has worked on LNG import terminal development, methane hydrate test production, upstream acquisition due diligence, and the regulatory and environmental dimensions of shale gas operations at both the state and federal levels. In the power and renewables space, Toshi represents clients in the acquisition and sale of power projects, structures tax equity investments, and assists foreign investors evaluating entry into U.S. power and renewables markets.
Beyond energy and infrastructure, Toshi advises clients across a range of industry sectors on corporate and investment matters in the United States. He handles M&A transactions, joint ventures, and various commercial arrangements for companies in electronics, water treatment and technology, and chemical engineering, among others. He also counsels clients on CFIUS and HSR clearance, corporate governance, compliance, regulatory reporting, subsidiary reorganization, capital injection, and employment matters at U.S. subsidiaries. Much of this work involves Japanese companies operating in or entering the U.S. market, and Toshi practices in both English and Japanese.
A significant and growing part of Toshi’s practice focuses on projects that contribute to the reduction of carbon emissions. This includes his work in hydrogen, ammonia, carbon capture and sequestration, battery energy storage, offshore wind, and solar, reflecting the direction of the global energy transition and the needs of his clients as they navigate it.
Toshi is a member of the Energy Bar Association, the Association of International Energy Negotiators, the American Bar Association, and the New York State Bar Association. He has spoken and presented at conferences and seminars around the world on topics including power and renewables projects, LNG markets, shale gas investment, and carbon emission reductions. He has chaired industry conferences and delivered keynote addresses, and his commentary has appeared in publications such as the Wall Street Journal, Bloomberg, Oil & Gas Journal, and others.
