Meet the Team >

Greenberg Traurig's Corporate Governance & Compliance Practice combines professionals from our corporate, litigation, and executive compensation departments to provide advice regarding the governance of public companies and the evolving responsibilities of their directors and senior management. We advise boards of directors, special committees, and executive management regarding their fiduciary duties and corporate governance best practices, and are experienced with representing clients related to activist campaigns, proxy challenges, stockholder rights plans, and other takeover defense programs.

Our lawyers are thoroughly versed in traditional corporate fiduciary standards as well as in the extensive and ever-changing body of legislation, regulation, and listing standards that both define and shape the responsibilities of directors and officers of public companies. Additionally, GT is unique as we offer a team of highly experienced Delaware litigators with a full-time focus on the Delaware General Corporation Law (DGCL), the Delaware Limited Liability Company Act, and the Delaware Revised Limited Partnership Act, as well as the decisions in which Delaware’s state and federal courts interpret and apply their provisions. Our advice combines best practices and practical judgment to withstand today's heightened scrutiny and litigation risks. Furthermore, our relationships with the institutional investment community, corporate governance ratings agencies, and advocacy groups provide our clients with a respected and credible partner in settling disputes and effecting governance changes.
