The Delaware General Corporation Law has been amended by two pieces of legislation this year.
The first set of amendments, adopted as Senate Substitute 1 to S.B. 21, implements significant changes to Sections 144 and 220 of the Delaware General Corporation Law. These amendments were signed into law on March 25 by Gov. Matt Meyer with immediate and generally retroactive effect, implementing changes that relate to foundational issues that have arisen in practice and litigation over the past decade.
