Tricia Branker works with public and private companies on general and transactional matters, in a wide range of corporate and securities law topics. She counsels domestic and foreign private issuers across a variety of industries, including frozen foods, technology, entertainment, hotel and casino, real estate development and oil and gas.

Ms. Branker focuses her practice on the representation of public company clients, both in capital market and transactional matters as well as in disclosure and compliance matters. She counsels public and private companies undertaking securities and corporate finance transactions, including secondary equity offerings, Rule 144A and Section 4(a)(2) private placements, PIPE offerings and registered exchange offers. In addition, Ms. Branker represents public and private companies in mergers and acquisitions and other strategic transactions.

As part of her public companies practice, Ms. Branker works with companies throughout the year on corporate governance topics and compliance with NYSE and Nasdaq listing standards, Sarbanes-Oxley, Dodd-Frank, and U.S. federal securities laws. She regularly works with companies on ’34 Act disclosure questions, non-GAAP financial metrics, responding to SEC comment letters, fine tuning corporate governance policies and procedures, and Section 16 topics.
