Adrián Gay Lasa focuses his practice on capital markets, structured finance, real estate, hospitality and cross-border transactions. He advises Mexican and international individuals, companies, and financial institutions on debt and equity transactions, including securities offerings, real estate transactions, mergers and acquisitions, joint ventures, and general corporate matters.

He has broad experience in capital markets transactions, with a particular focus on FIBRAs (real estate investment trusts), CKDs, CERPIs, SPACs, domestic and cross-border asset-backed securitizations, true-sale transactions and future-flow transactions, including accounts payable, leases, factoring and diverse revenue generating source.

Adrián also advises lenders and borrowers on structured credit facilities, bridge financing, and the design and implementation of financial structures for real estate developments, hospitality projects, and infrastructure, including public-private partnerships. He has substantial experience before the Ministry of Finance and Public Credit (SHCP), the National Banking and Securities Commission (CNBV) and other federal and local government entities.

  • Representation of Fibra UNO in its IPO that raised MX$3.62 billion (US$300 million), with additional certificates issued to real estate contributors via private placement, bringing the total issuance to MX$8.27 billion (US$686 million), placed in U.S. and European markets under Rule 144A and Regulation S. °
  • Representation of Fibra UNO in its US$1 billion international notes issuance (10- and 30-year tenors) listed in Ireland. °

  • Representation of Casa de Bolsa Finamex in the registration of the first two structured bond programs issued by a financial institution in Mexico, for US$750 million. °
  • Representation of the Stanford Bank Receiver in managing matters related to Stanford’s Mexican entities and operations. °
  • Representation of a U.S. financial institution in a US$50 million cross-border financing for the development of a timeshare resort in Los Cabos, Baja California Sur. °
  • Represented individual seller in the sale of Zoetry Hotel in Yucatán, totaling US$14 million and boutique hotel in Polanco, totaling US$8 million. °
