Flora R. Perez focuses her practice on advising public companies on corporate and securities matters, public securities offerings, asset-backed financing transactions and mergers and acquisitions. She is experienced counseling boards and senior management on a variety of legal issues including corporate governance, executive compensation, SEC reporting, compliance, strategic business initiatives, commercial matters, and employment.

Flora advises both public companies on the full range of securities transactions including mergers, tender offers, going private transactions and strategic investments both nationally and internationally.

  • Represented Ryder System Inc. as Deputy General Counsel:
    • Managed in-house team that provided all legal counsel relating to securities, corporate governance, finance, executive compensation, and regulatory compliance matters.°
    • Member of Ryder’s Disclosure Committee.
    • Led ongoing shareholder engagement process as well as all communications and dialogue with ISS and Glass Lewis including in connection with several shareholder proposals relating to the company’s classified board and proxy access.
    • Attended Board and Committee meetings; provided advice and counsel on governance, compensation, risk management, SEC disclosure and compliance, fiduciary duties and other legal matters.
    • Completed over $3 billion in public debt offerings and multiple asset-backed and lease financing transactions.°
    • Closed multiple acquisition and strategic transactions both in the U.S. and internationally.°
  • Represented client as Counsel:
    • Ongoing representation of public companies including Platform Specialty Products Corporation, Nomad Food Holdings, BioTelemetry, Inc., Forward Air Corporation, World Fuel Services Corporation and The St. Joe Company.
    • Represented Platform Specialty Chemical Corporation, a $4.5 billion global diversified specialty chemical company in a $400 million equity offering and $500 million senior notes offering.
    • Represented Nomad Foods Limited, a £2.0 billion European frozen foods company, with respect to its listing on the NYSE and its £500 million acquisition of Findus.
    • Represented Jarden Corporation in its $16.0 billion merger with Newell Brands.
    • Counsel for Vizient,Inc., a large member-owned GPO in its $600 million senior notes offering.
    • Represented BioTelemetry, Inc. in its tender offer for all of the shares of VirtualScopics, Inc.
    • Counsel for Bluegreen Corporation, a developer of timeshare resorts and planned residential and golf communities, in $170.2 million offering of timeshare loan-backed notes.°
    • Represented IVAX Corporation, a multi-national pharmaceutical company, in connection with registered and Rule 144A debt offerings, corporate governance and securities and regulatory compliance matters, including compliance with the Securities Exchange Act of 1934.°
