Greenberg Traurig Represents PKO BP S.A. at Closing of Nordea Bank’s Shares Acquisition

WARSAW (2 April 2014) – A team of attorneys from the Warsaw office of the international law firm Greenberg Traurig LLP represented PKO BP S.A. at closing of Nordea Bank’s shares acquisition. Bank PKO BP and Nordea Bank signed documents giving effect to an acquisition by PKO BP of shares in Nordea Bank Polska, Nordea Towarzystwo Ubezpieczeń na Życie and Nordea Finance with a total value of approximately PLN 2.8 billion.

As part of the acquisition, Nordea Bank AB will provide PKO BP over a period of seven years with approximately PLN 15 billion of financing for mortgage loans granted by Nordea Bank Polska.

Greenberg Traurig advised PKO BP on all stages of the transaction, from the execution of a conditional share purchase agreement last June, through negotiations of mortgage loans financing, representation before the Polish Financial Supervision Authority, to the final closing.

The Greenberg Traurig team working on the transaction was led by Senior Partner Lejb Fogelman. The team also consisted of partners Radosław Gronet, Łukasz Pawlak, Tomasz Kacymirow, Przemysław Kozdój and Marek Kozaczuk. The team was supported by associates Łukasz Gorek, Karolina Kubik, Agnieszka Szypura,  Michał Kulig and Maciej Kacymirow.

In March 2014 the transaction was approved by the Polish Financial Supervision Authority, thus becoming the largest, finalized acquisition in the Polish banking sector in 2013.
