Stephen L. Rabinowitz is the Managing Shareholder of the New York office, the Chair of the New York Real Estate Practice, and an adviser to a wide variety of private equity funds, asset managers, developers, and institutional and entrepreneurial investors and operators in the acquisition, financing, development, sale and leasing of all classes of commercial properties including multi-family, office, hospitality, and condominium properties. A significant portion of his practice is devoted to venture formation and engineering sophisticated capital structures.

  • Maximus Real Estate Partners in the transformation of Parkmerced, a multi-family community in San Francisco with more than 5,700 stable housing units and another 6,000 units under development. Stephen has been the lead legal counselor to the owners of Parkmerced since 2005 and has advised on all aspects of the project including equity capitalization, financing, development, and technology to help bring to fruition Maximus’ vision of the first sustainable and completely carbon neutral residential development. Mr. Rabinowitz’s representation at Parkmerced has included the first-of-its-kind partnership between Uber and a real estate company, designed to encourage car-free living and establish a sustainable, multimodal transportation model for communities and developments across the United States.
  • SL Green Realty Corp. (NYSE:SLG) in connection with the purchase of 11 Madison Avenue, the historic New York City office tower located on the east side of Madison Square Park, for more than $2.25 billion. Reported to be the second largest office building transaction ever.
  • Qatari Diar Investment Company in a joint venture with Tishman Speyer to construct a 1.1 million square foot mixed-use development on Long Island City New York.
  • 233 S. Wacker LLC in the $1.3 billion sale of former Sears Tower in Chicago to Blackstone. Reported to be the largest U.S. office transaction outside of New York.
  • Ceruzzi Properties in a joint venture with Shanghai Municipal Investment USA in connection with the $325 million acquisition of 520 Fifth Avenue, a planned mixed-use development which will include three levels of retail space and 180,000 sq. ft. of luxury condominiums with a total projected sellout of $1 billion.
  • East Harlem Tutorial Program (EHTP) and the East Harlem Scholars Academies in all real estate, leasing and facilities matters including the development and construction of the 60,000 East Harlem Education Center, housing the East Harlem Scholars Academy, a PreK-8 public charter school, a high-school robotics program and administrative offices.
