Steven heads the firm’s Delaware Litigation Practice. He focuses on complex corporate and commercial litigation, representing business entities, officers, directors, and investors in the Court of Chancery and the Commercial Litigation Division of the Superior Court, as well as the U.S. District Court. He also is regularly involved in cases that involve Delaware law issues being litigated in other jurisdictions, including federal court actions where companion or parallel securities claims are being asserted.

Steven collaborates with his clients to arrive at an approach tailored to the particular needs of each case, including preliminary motion practice, and is adept at working with financial/economic witnesses to evaluate the complicated damages issues involved in high-stakes litigation. His experience includes decades of bench trials, jury trials, appeals, and ADR proceedings for clients across a wide variety of business sectors, including banking and finance, energy and industry, medical devices and pharmaceuticals, real estate and development, and software and technology (among others).

Steven also helps clients mitigate their litigation risks by assisting with the negotiation and drafting of agreements or transactions, and by serving as Special Counsel to boards of directors seeking advice on issues of Delaware law or governance.

Experience

During almost thirty years of specialized experience with complex and high-stakes litigation, Steven has developed or clarified Delaware law in cases involving fiduciary duty claims, application of equitable remedies, and related valuation issues. He has also litigated or advised on numerous types of disputes centered on the parties’ contractual rights, including declaratory judgment actions interpreting the terms of the underlying agreements.

Representative examples include matters in which Steven prosecuted, defended or provided counsel on:

  • business disputes involving breach of contract or specific performance claims, restrictive covenants, earn-out or purchase-price adjustment issues, and fraud allegations;
  • fiduciary duty claims (including Caremark claims) and securities claims being asserted against officers and directors;
  • expedited litigation seeking temporary, preliminary and permanent injunctions in commercial and corporate disputes, including multiple actions seeking court-ordered consummation of a failed transaction or acquisition;
  • appraisal actions seeking consideration above the amount paid to stockholders following a merger;
  • disputes over corporate actions or elections (including proxy fights)
