Max Jiusto represents financial institutions and private lending entities in secured corporate finance transactions. He handles single-lender and syndicated credits across various loan types, including asset-based loans, cash-flow financings, acquisition financings, and fund financings. across multiple industries, including retailers, manufacturers, service providers, lenders, and real estate developers and operators. Max also works with private equity firms and other investors representing portfolio companies as borrowers in commercial loan transactions

Max is experienced in drafting and negotiating credit agreements, security documents, guaranties, and other loan documentation for credit facilities of various types and sizes. He counsels clients on complex financing arrangements, addressing intercreditor matters, perfection of liens, loan terms, borrower structures, financial covenants, and exercise of remedies.

His practice includes representing banks and private lenders in transactions ranging from multimillion to hundred-million-dollar facilities. Max has handled term, revolving, and delayed draw facilities, and has worked on matters involving cross-border collateral and complex perfection issues.

Experience

  • Represented national bank as administrative agent in $400 million syndicated loan to regional retailer. Drafted and negotiated credit agreement and other ancillary loan documents for term, revolving, and delayed draw facilities. Documentation included dozens of guaranties and negative pledge agreements for numerous subsidiaries.°
  • Represented international bank as administrative agent in $35 million syndicated loan to national pet supply retailer/franchisor. Counseled client regarding complex perfection issues and prepared related collateral documents, including security agreements, deposit account control agreements, and collateral access agreements.°
  • Represented private lender in $7.5 million asset-based revolving loan to specialty foods distributor for acquisition of a competitor. Prepared pledge agreements, collateral access agreements, intellectual property security agreements, subordination agreements, and other ancillary documents.°
  • Represented private lender in $142 million loan to metals distributor. Included term and revolving facilities, intercreditor agreements, and Canadian and Mexican collateral. Researched and advised client on cross-border perfection of collateral and related issues in collaboration with foreign counsel.°
  • Represented national bank in $25 million loan to software company for working capital. Negotiated multiple subordination agreements with existing creditors, among other documents.°
