Profile
Guillermo Uribe Lara focuses his practice on capital markets and finance, including real estate, structured finance, and syndicated loans. He advises a broad range of domestic and foreign banks, brokerage firms, structuring agents, rating agencies, local governments, FIBRAs, and companies on both private and public transactions.
He has been lead counsel in the first and largest FIBRA (Mexican REIT) and has since advised on seven additional FIBRA IPOs and several CKDs (Certificados de Capital de Desarrollo). His work spans major real estate acquisitions, public and rights offerings, and debt capital markets transactions, both domestic and cross-border. He also has substantial experience negotiating, structuring, and implementing traditional and structured loans, securities placements, and asset securitizations.
Prior to private practice, he served as Director of the Corporation Finance Division and Director of Market Surveillance at Mexico’s National Banking and Securities Commission (CNBV), where he participated in the development and amendment of securities market laws and regulations, including those governing FIBRAs, CKDs, and MexDer, and oversaw the authorization and registration of Mexican securities and the IPOs of many current public companies.

- Representation of Fibra UNO (FUNO11.MX) in its US$700 million follow-on equity offering, the fourth international issuance by the company since its IPO in 2011. °
- Representation of Fibra Plus in its debut on the capital markets; Fibra Plus raised MX$1.5 billion in its IPO, becoming the eleventh FIBRA listed on the Mexican Stock Exchange, with CBFIs listed at MX$15 each; Punto Casa de Bolsa and Finamex served as lead and co-lead underwriters, respectively. °
- Representation of Fibra Inn (FINN13) as deal counsel in the issuance of US$53 million in bonds due 2021, enabling the company to raise up to US$265 million in the future. °
- Representation of a Mexican REIT in the structuring and implementation of a MX$5 billion (US$292 million) debt program with a five-year term, as well as the first issuance of long-term trust bonds under that program, totaling MX$1.8 billion (US$116 million). °
- Representation of Fibra UNO in setting up a drop-down fund valued at US$387 million (MX$6 billion), the largest in the Mexican real estate development sector at the time. °
- Representation of Fibra HD in its MX$1.5 billion (US$100 million) IPO, the tenth FIBRA to list on the Mexican Stock Exchange following the 2011 legal reforms. °

- Representation of Fibra UNO in its third global public offering before the Mexican Stock Exchange and international markets, valued at US$1.7 billion; Fibra UNO offered 600 million CBFIs including an overallotment option, marking the first time a company in Mexico executed a hot deal option on a base public offering. °
- Representation of Fibra UNO in its second public offering, raising US$700 million; Fibra UNO sold 373.75 million certificates in U.S. and European markets under Rule 144A and Regulation S. °
- Representation of Fibra UNO in its IPO that raised MX$3.62 billion (US$300 million); additional certificates were issued to real estate contributors via private placement, bringing the total issuance to approximately MX$8.27 billion (US$686 million), placed in U.S. and European markets under Rule 144A and Regulation S. °
