Miguel A. Moisés focuses his practice on banking and finance and mergers and acquisitions. He is experienced in representing lenders and borrowers in structured financings, bilateral and syndicated loans, and in the financing of projects. He advises buyers and sellers, including funds, both domestic and international, in stock and asset purchase and sale transactions and joint ventures.

Experience

  • Santander Mexico and HSBC Mexico. Representation of Santander Mexico and HSBC Mexico, as structuring agents, joint bookrunners and lenders, as well as a syndicate of lenders, in connection with a two-tranche credit facility granted to a consortium of investors for the acquisition of a majority stake in Baja Aqua-Farms, and its subsidiaries, a company engaged in the Bluefin tuna fishing and farming business.
  • Walton Street Capital. Representation of Walton Street Capital in connection with the assumption of two credit facilities granted by MetLife and Prudential, with a total value of USD$407.3 million, as part of the acquisition of Advance Real Estate, an industrial and logistics real estate development and operating company in México with a portfolio of 61 “Class A” industrial buildings.
  • Finsa. Representation of Finsa in obtaining a USD$350 million loan granted by a syndicate of banks for the refinancing of existing debt related to a portfolio of 40 industrial properties.
  • BBVA Mexico and four financial institutions. Representation of BBVA Mexico, as administrative agent, collateral agent, structuring agent, sole bookrunner and lender, and Sabadell, Banco Ve por Más, Intercam, and BanCoppel, as lenders, in a MXN $2,400 million syndicated credit facility granted to Fibra Shop to refinance existing debt.
  • US insurance company. Representation of a US insurance company in connection with a USD$212 million credit facility granted to a major industrial real estate developer in Mexico.
  • BBVA Mexico. Representation of BBVA Mexico, as lead arranger, sole bookrunner and agent, as well as various financial institutions, as lenders, in connection with a USD$182 million syndicated credit facility granted to Blazki (“Pueblo Bonito”), as borrower, for the refinancing of existing debt and the construction of new hotels.
  • Union Investment Real Estate. Representation of Union Investment Real Estate in connection with a USD$175 million secured credit facility granted by Metropolitan Life Insurance Company to refinance existing debt in connection with the Torre Mayor skyscraper located in Mexico City.
  • Black Diamond Capital Management. Representation of Black Diamond Capital Management in the purchase of a storage tank business to Arcosa for USD$275 million, as well as in the USD$140 million credit facility granted by Blue Torch Finance LLC for such acquisition.
  • CCL Industries. Representation of CCL Industries in connection with the acquisition of the assets of Desarrollo e Investigación, a Mexican company, and Fuzetouch PTE LTD, a Singapore company. The several jurisdictions involved, and the complexities derived from this particular asset deal were the most challenging factors in structuring the acquisition.
  • BBVA México and Banorte. Representation of BBVA México and Banorte, as lead arrangers and lenders, in a $1,620 million Pesos syndicated credit facility granted to a developer to finance a mixed-use complex located in Guadalajara, Jalisco.
  • Syndicate of banks. Representation of HSBC Mexico, as lead arranger, agent and lender, as well as Banorte and Santander, as lenders, in a MXN$4,500 million refinancing credit facility granted to Grupo Traxión.
  • Banorte and Bancomext. Representation of Banorte and Bancomext in the USD$100 million refinancing facility granted to an affiliate of Walton Street Capital with respect to a beachfront hotel operated under the Hilton brand.
  • Walton Street Capital. Representation of Walton Street Capital in connection with a USD$100 million secured credit facility granted by Metropolitan Life Insurance Company to refinance existing debt in connection with the JW Marriott hotel located in Mexico City.
  • BBVA Mexico. Representation of BBVA Mexico and a syndicate of banks in an MXN$11 billion refinancing credit facility granted to a pharmaceutical company secured by real estate properties and trademarks.
  • Global bank. Representation of a global bank in two bidding processes for the potential acquisition of companies operating in the Mexican financial sector.
  • Global bank. Representation of a global bank in a process for the sale of one of its subsidiaries operating in the Mexican financial sector.
  • Real estate developer. Representation of a real estate developer in the negotiation of a joint venture with a Fibra for the development of a hospitality project.
  • BBVA Mexico. Representation of BBVA Mexico, as administrative agent, and a syndicate of banks, as lenders, in negotiating and implementing the restructuring of a secured syndicated credit facility to a leading real estate developer based in Mexico City. The loan facility was secured by a mortgage over 23 different properties located in 4 different states within Mexico, as well as with a guaranty of payment issued by a Mexican development bank.
  • EMX Capital. Represented EMX Capital, a Mexican private equity fund, in the acquisition and subsequent sale of several companies across different industries.
  • Just Eat. Represented Just Eat plc, a company headquartered in London and listed in the London Stock Exchange, in the acquisition of Sin Delantal Mexico.
