Jonathan Shamay-Draluck is a seasoned transactional attorney who has led complex, high-value arrangements on behalf of, or opposite, dozens of Fortune 100 companies.

With a particular focus on digital infrastructure, Jonathan has represented investors, hyperscalers, and landowners in data center campus development and the full range of ancillary commercial arrangements. He has also negotiated deployment of subsea and terrestrial fiber and supported operation of networks around the globe.

He has advised space and defense tech companies throughout their development lifecycle, in M&A, sponsored research, manufacturing, integration, assembly, logistics, launch, and operations. In this regard, he has supported teaming arrangements, SBIR and CRADA opportunities, negotiations with military customers or prime contractors, and subcontracts for critical vendor inputs.

His broad technology practice has brought him to serve in a variety of other roles including as “outside GC” and in-house counsel to technology companies. Leading contracting functions at large IT consulting firms, he aligned proprietary offerings, professional services and third-party systems, to enable enterprises to leverage AI and other high-throughput platforms.

Beyond the technology sector, Jonathan has represented pharmaceutical and medical device companies as they negotiated M&A, clinical trials, technology transfer, patent licensing, and manufacture agreements.

  • Advised on research, procurement, licensing and manufacture for launch and operation of a multi-sensor satellite constellation.° 
  • Arranged deployment of edge infrastructure for a global VoIP network in over 100 countries.°
  • Counseled a global credit card consortium on practices relating to the promotion of security standards.°
  • Negotiated technology procurement for a world-leading academic institution.°
  • Crafted arrangements on behalf of global and startup biotech companies for sponsored research, technology transfer and other collaboration, patent licensing, material transfer and evaluation, design and manufacturing, and pre-clinical and clinical trials.°
