Giuliano Apadula focuses his practice on the acquisition, sale, development, and financing of real estate and businesses. His primary focus is evaluating, managing, and mitigating environmental risks, and his background as a corporate and real estate lawyer enable him to craft solutions to and negotiate the provisions of the underlying transactional agreements. As part of his role, Giuliano (i) structures, negotiates and manuscripts specialty lines insurance products and contractual solutions to manage large-scale environmental risks, (ii) negotiates the placement of equity and debt financing for projects that would otherwise struggle because of onerous contractual obligations or environmental liabilities, and (iii) solves environmental impediments in merger and acquisition transactions.
Giuliano has negotiated and drafted significant environmental insurance programs and numerous complex agreements that form the basis of the risk transfer process (liability transfer agreements, stock purchase agreements, and purchase and sale agreements). His clients include private equity companies, manufacturing businesses, and real estate developers, and his projects have involved not only traditional corporate and real estate transactions, but also specialty transactions such as the redevelopment of landfills, military bases, and environmentally high-risk businesses and facilities.
