Greenberg Traurig Milan and Amsterdam Advise on Tata Motors’ Acquisition of Iveco Group

MILAN – Aug. 5, 2025 – A team of Greenberg Traurig lawyers in its Milan and Amsterdam offices has advised the board of directors of Iveco Group, a leading European manufacturer in the commercial vehicle and mobility sector, in its landmark acquisition by Tata Motors. The deal aims to establish a globally competitive group in the commercial vehicles industry, combining the reach, product portfolio, and industrial capabilities of both Tata Motors and Iveco Group.

Greenberg Traurig acted as independent legal advisers to Iveco Group’s board of directors. The team from Greenberg Traurig, led by Shareholder Bruno Cova and supported by Local Partner Juljan Puna, Shareholder Jelmer Kalisvaart, and Trainee Sharon Sardini, provided counsel on the corporate governance aspects.

The acquisition is structured as a voluntary public takeover offer by Tata Motors for all outstanding common shares of Iveco Group, excluding its defense business, which is being separated as a condition of the deal. The proposed offer, valued at approximately €3.8 billion, is subject to regulatory approvals and is expected to conclude in the first half of 2026.
